Job description

We are seeking a Client Contracts Attorney to join our Conflicts & Business Review Department, which is part of the Firm's General Counsel's Office.
This is an opportunity to join a collaborative team focused on supporting the Firm's management of client contracts.
KEY RESPONSIBILITIES:
  • Review all outside counsel guidelines and other client-drafted engagement terms, non-disclosure agreements (NDAs), Business Associate Agreements, terms associated with Requests for Proposals (RFPs), third party engagement terms, and other non-standard client contracts and advise on the Firm's ability to comply with such agreements.
  • Revise and draft exceptions to client engagement terms and contracts as needed.
  • Communicate with Firm partners regarding identified issues and negotiate directly with Firm clients when instructed.
  • Coordinate contract version control and finalization by completing redline comparisons.
  • Oversee completion of client due diligence requests.
  • Ensure internal memoranda are drafted to summarize relevant provisions of approved client guidelines.
  • Direct the preparation of posting of approved and pending client guidelines on the Firm's Intranet and the filing of executed client contracts.
  • Work closely with the Associate Director of Client Contracts and a team of Client Contracts Attorneys.
  • Other duties or projects may be assigned by the Associate Director of Client Contracts or Director of Conflicts & New Business Intake

QUALIFICATIONS:
  • Juris Doctorate (J.D.).
  • Minimum of three years of contract review and negotiations experience and knowledge of privacy and data protections laws preferred.
  • An active law license in the jurisdiction in which the candidate is located.
  • Working knowledge of Microsoft Office suite, including Word track changes, Planner, and Lists and document comparison tools (e.g. Litera Compare). Experience working with generative AI tools (e.g. Copilot and Harvey) preferred but not required.
  • Excellent oral and written communication skills, exceptional attention to detail and accuracy.
  • Responsive, demonstrates sound judgment, and adept at proactively managing workflow.
  • Ability to adapt to changing priorities, maintain a fast pace, meet deadlines, and manage a heavy workload.

  • Remote work is an option, subject to location approval by the Firm. Occasional travel to Atlanta office may be required.

Pay Transparency Range:
New York, Washington, DC, Chicago, Denver, Sacramento, Los Angeles, San Francisco, Silicon Valley : Full-time annualized salary range $145,000-$160,000.
The salary offer will be contingent upon various factors, including but not limited to, relevant experience, internal equity, market data, job location, and other job-related factors permitted by law.
