Job description

Direct Counsel is seeking a Tax Associate to join a prestigious and growing tax practice in Los Angeles. This is an exceptional opportunity for an attorney looking to work on sophisticated transactional tax matters involving mergers and acquisitions, private equity transactions, capital markets offerings, investment funds, and real estate investments.

The ideal candidate will have strong transactional tax experience, excellent analytical skills, and an interest in advising clients on complex and innovative tax issues across a variety of industries.

Responsibilities
  • Advise clients on the tax aspects of complex business transactions
  • Structure and analyze:
    • Mergers and acquisitions
    • Private equity transactions
    • Capital markets transactions
    • IPOs and spin-offs
    • Investment fund formations
    • Real estate transactions
    • REIT-related matters
  • Conduct tax research and prepare tax analyses and memoranda
  • Draft and review transaction documents with tax considerations in mind
  • Collaborate with corporate, finance, private equity, real estate, and capital markets attorneys
  • Advise clients on transaction structuring, risk assessment, and tax planning strategies
  • Participate in client meetings, negotiations, and transaction execution
  • Contribute to thought leadership initiatives, client presentations, and industry conferences
Qualifications
  • J.D. from an accredited law school
  • Law school class years 2020–2023
  • Transactional tax experience at a sophisticated law firm
  • Experience in one or more of the following areas:
    • M&A tax
    • Private equity transactions
    • Capital markets transactions
    • IPOs and spin-offs
    • Investment fund formation
    • Real estate taxation
    • REITs
  • Strong tax research and writing skills
  • Excellent analytical and problem-solving abilities

Compensation & Benefits
