Tax Associate Attorney Locations: Los Angeles, California; New York, New York; San Diego, California Direct Counsel is seeking a Tax Associate to join a premier international law firm's highly regarded Tax Practice Group. This is an exceptional opportunity for a mid-level tax attorney to work on sophisticated domestic and cross-border transactional matters alongside nationally recognized practitioners advising leading public and private companies, private equity sponsors, investment funds, and emerging growth businesses. The firm is known for its collaborative culture, cutting-edge transactional platform, and commitment to attorney development, offering associates meaningful responsibility on complex matters from the outset. Responsibilities
  • Advise clients on the tax aspects of mergers and acquisitions, private equity transactions, restructurings, joint ventures, and strategic alliances
  • Support sophisticated domestic and cross-border transactional matters
  • Counsel clients on matters involving:
    • Private equity and hedge funds
    • Real estate and REIT taxation
    • Structured finance and securitization
    • Lending and project finance
    • Bankruptcy and workouts
    • Capital markets and structured note transactions
    • Start-up and early-stage company matters
  • Draft and review transactional documents and tax-related provisions
  • Independently manage significant components of transactions
  • Collaborate closely with corporate, finance, restructuring, and capital markets teams across offices
Qualifications
  • 3-5 years of significant transactional tax experience at a leading law firm
  • Strong background in federal transactional tax matters
  • Experience advising on mergers & acquisitions, private equity, and strategic transactions
  • Ability to independently manage workstreams and client matters
  • Excellent analytical, drafting, and communication skills
  • Strong academic credentials
  • Admission to the New York or California Bar, or eligibility to waive in
