Job description

Nelson Mullins is seeking a Corporate & Private Equity Partner with 8 - 15 years of sophisticated transactional experience to join its Corporate and Private Equity Team. The location of this position is flexible within our office footprint, with a preference for Atlanta, Charlotte, Miami/Boca, or DC. Candidates must be admitted and in good standing in the state where they practice.

The ideal candidate will have significant experience representing private equity sponsors, portfolio companies, and strategic buyers, as well as founders in exit transactions to private equity.

The opportunity is heavily expertise and culture-driven.  The opportunity fits within a team with all of the sophistication of the largest firms in the world serving the middle market with enterprise values of transactions that often fall in the $20 - $250 million range.  Culture and fit are important – the ideal candidate will have high emotional intelligence and will have the opportunity to work in a collegial, collaborative environment where everyone can win.


  • Represent private equity funds, portfolio companies, and corporate clients in mergers, acquisitions, divestitures, and other strategic transactions.
  • Draft, negotiate, and manage purchase agreements, LLC agreements, and related transaction documents.
  • Conduct and supervise due diligence reviews and coordinate transaction closings.
  • Advise clients on corporate governance matters, ownership structures, and ongoing business operations.
  • Work directly with clients, investment professionals, lenders, accountants, and opposing counsel throughout the transaction lifecycle.
  • Collaborate with attorneys across multiple practice groups to provide comprehensive legal solutions to clients.

  • 8–15 years of meaningful corporate and transactional experience at a law firm or comparable legal environment.
  • Significant experience handling M&A transactions and private equity investments.
  • Experience representing sponsors, portfolio companies, founders, management teams, or strategic buyers.
  • Strong drafting, negotiation, analytical, and client counseling skills.
  • Demonstrated ability to manage multiple transactions and work effectively in a team-oriented environment.
  • Excellent academic credentials and written and verbal communication skills.
