Mergers & Acquisitions & Private Equity Managing/Senior Associate Attorney

Direct Counsel is seeking a Mergers & Acquisitions & Private Equity Managing/Senior Associate Attorney to join a prestigious Am Law firm in Irvine (Orange County), Miami, New York City, or San Francisco.

This is an exceptional opportunity for an attorney with 4-7 years of mergers and acquisitions experience to join a nationally recognized Corporate practice. The team advises public and private companies, private equity sponsors, founders, and investors on sophisticated domestic and cross-border mergers, acquisitions, private equity investments, and other strategic corporate transactions.

Responsibilities
  • Represent public and private companies, private equity sponsors, and investors in mergers, acquisitions, divestitures, and other strategic transactions.

  • Draft, review, and negotiate purchase agreements, merger agreements, ancillary transaction documents, and corporate governance documents.

  • Lead legal due diligence efforts for complex M&A transactions.

  • Manage transaction structuring, negotiations, signing, and closing processes.

  • Coordinate with multidisciplinary legal teams, including tax, finance, employment, and regulatory attorneys, on sophisticated transactions.

  • Serve as a primary point of contact for clients while providing practical, business-oriented legal advice.

  • Mentor junior associates and contribute to the development of the corporate practice.

  • Manage multiple high-profile transactions in a collaborative, fast-paced environment.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the state bar of the office where the attorney will be located.

  • 4-7 years of mergers and acquisitions experience at a major law firm.

  • Experience representing buyers, sellers, investors, or private equity sponsors in sophisticated corporate transactions.

  • Strong drafting, negotiation, analytical, and communication skills.

  • Excellent academic credentials.

  • Outstanding interpersonal skills with the ability to build strong client relationships.

  • Demonstrated ability to manage complex transactions independently while collaborating effectively with legal teams.

  • Highly motivated with exceptional organizational and project management skills.

Compensation & Benefits
  • Salary: $310,000-$420,000, commensurate with experience and qualifications.
