Job Summary:
Zymo Research is looking for a dynamic individual to join our team! The Corporate Legal Associate will support the Company's corporate governance, recordkeeping, and legal operations. This role is designed for a mid to junior-level professional who will work closely with the CEO, HR Director, and external counsel, while gaining experience in corporate and trust law. The position provides the opportunity to grow into more complex responsibilities over 1-3 years under supervision and mentorship.

Essential Duties and Responsibilities
  • Corporate Governance & Recordkeeping
    • Prepare and maintain corporate minutes, resolutions, and other official company records.
    • Support annual meetings, board actions, and entity compliance filings.
  • Contract Support
    • Draft, review, and edit legal agreements, including NDAs, consulting agreements, and commercial contracts, under supervision.
    • Track contract renewals, expirations, and obligations.
  • Entity & Trust Support
    • Assist with the administration of trusts, inter-company documentation, and corporate structure matters under guidance.
    • Coordinate with common-ownership companies for consistency of recordkeeping.
  • Cross-Functional Collaboration
    • Work with the HR Director on employment-related agreements and compliance matters.
    • Serve as liaison with outside legal counsel on more complex corporate, tax, or regulatory issues.
  • Compliance & Deadlines
    • Maintain calendars for key filing dates and compliance requirements in Nevada, California, and other jurisdictions.
    • Support internal audits of corporate documents and reporting.

Qualifications
  • Bachelor's degree in Business, Law, or related field required. J.D. or paralegal certification preferred.
  • 1-3 years' experience in corporate law, trusts, governance, or contracts (law firm or in-house).
  • Strong organizational and drafting skills, with keen attention to detail.
  • Familiarity with LLC structures, corporate filings, and legal documentation.
  • Ability to handle confidential information with discretion.
  • Proactive, eager to learn, and able to manage multiple tasks in a fast-paced environment.

Preferred Skills
  • Exposure to trust administration or estate planning.
  • Experience supporting multiple independent companies under common ownership.

Compensation, Benefits, and Perks
The estimated base compensation range for this position is $40 -$50 an hour at the time of posting.
