Job description

POSITION SUMMARY
The Associate General Counsel will join the legal team and will report directly to the Senior Associate General Counsel. You will serve as a key member of the transactional legal team, working alongside the Senior Associate General Counsels on real estate transactions, commercial contracts, and portfolio management across the Company's retail, manufacturing, and hospitality operations. The position will require hands-on legal counseling on a broad range of commercial and real estate matters while supporting broader corporate legal initiatives. This position will be based in Springfield, Missouri.
DUTIES & RESPONSIBILITIES
  • Provide proactive, practical, and timely day-to-day advice to internal business partners across Bass Pro's retail, manufacturing (White River Marine Group), and hospitality (Big Cedar Lodge, Big Cypress) operations on a wide variety of transactional and commercial legal issues.
  • Draft, review, and negotiate a wide range of real estate transactions, including leases, acquisitions, dispositions, development and redevelopment agreements, renewals, amendments, subleases, and easements.
  • Draft, review, and negotiate general commercial contracts, including vendor agreements, service contracts, and other business arrangements.
  • Support the management of the Company's existing real estate portfolio, including monitoring and managing critical dates such as renewal and termination options and tracking real estate-related financial obligations.
  • Conduct and oversee due diligence on real estate transactions, including title review, survey analysis, zoning and land use matters, and environmental compliance.
  • Serve as a legal liaison between Facilities/Operations and external parties, including landlords, municipalities, and adjacent landowners, pursuing compliance as needed and coordinating legal action as necessary.
  • Monitor legislative and regulatory developments affecting the Company's operations and business interests; proactively identify and assess risks and opportunities; advise internal business partners regarding same.
  • Supervise and manage outside counsel on real estate and other transactional matters.
  • Assist in developing, preparing, and providing training to internal business partners on various legal topics.
  • Support the existing legal team with daily work and strategic transactional initiatives.

EXPERIENCE & QUALIFICATIONS
  • J.D. from ABA accredited law school.
  • Admitted and member in good standing in at least one state bar and ability to become licensed as in-house counsel in Missouri.
  • Seven to ten years' legal experience practicing in a law firm or in-house legal department. Recent experience with retail, hospitality, and/or manufacturing industries preferred.
  • Strong background in real estate transactions, including commercial leasing, acquisitions, dispositions, and development agreements, strongly preferred.
  • Experience drafting and negotiating general commercial contracts.

KNOWLEDGE, SKILLS, & ABILITY
  • Excellent written and verbal communication skills.
  • Excellent legal analysis, reasoning, and writing skills, including the ability to quickly integrate and synthesize facts and law to make legally sound decisions in compressed timeframes.
  • Strong understanding of commercial real estate principles and practices, with the ability to translate complex transactional and regulatory requirements into practical business guidance.
  • Ability to balance and prioritize multiple time-sensitive issues involving business partners in various locations.
  • Ability to provide direct and timely advice and counseling to business clients at various levels of the organization.
  • Ability to think strategically and evaluate potential risks to the company, including economic, legal, and reputational.
  • Self-motivated and able to work independently.
  • Excellent interpersonal skills; team player who is flexible and adaptable.

  • 5% Limited travel when necessary

INDEPENDENT JUDGEMENT
Provides legal guidance on real estate and other transactional matters across the Company's retail, manufacturing, and hospitality operations. Supports the Senior Associate General Counsel in developing goals, plans, and policies for the Company's various commercial transactions. Exercises independent judgment on routine transactional matters, with escalation to the Senior Associate General Counsel on matters of heightened significance or risk. Requires a high degree of problem solving on complex transactional and commercial issues.
