Job description

The VP Associate General Counsel serves as primary legal support for all complex finance, mortgage servicing, securitization, vendor, corporate organization and other complex transactions. This position plays a crucial role in advising on legal matters related to complex mortgage and finance-related transactions. This position leverages in-depth knowledge of relevant laws, regulations, and industry best practices to ensure the company operates within the boundaries of the law while achieving business objectives.

Essential Duties and Responsibilities

  • Contract Negotiation and Review: Drafts, reviews and edits complex mortgage industry related contracts including servicing, sub-servicing, MSR sale, ESS, asset purchase, warehouse lines of credit, bond issuance, securitizations, Letters of Intent, vendor (MSA and SOWs), and other contracts with third parties.
  • Advises senior leadership on various structures and deal-terms with understanding of industry standard requirements for related agreements.
  • Corporate Governance: Assists with corporate governance matters, including board meetings, governance policies, corporate resolutions, and other corporate requirements.
  • Mergers and Acquisitions (M&A): Provides legal guidance on M&A transactions, including due diligence, negotiations, and post-merger integration.
  • Performs other duties as assigned

Position Requirements

Education

  • Juris Doctor (JD) degree from an accredited law school and admitted to the bar in the relevant jurisdiction

Experience

  • Minimum 10 years experience practicing law, with a focus on complex mortgage industry-related matters, such as servicing, sub-servicing, MSR sales, warehouse lines of credit, bonds, securitizations, vendor (MSAs and SOWs) contracts, as well as corporate formation and resolutions

Functional/Technical Skills

  • Strong knowledge of federal and state laws and regulations related to the mortgage industry.
  • Proven ability to provide strategic legal advice to senior management and navigate complex legal issues.
  • Experience managing legal teams and external counsel.
  • Excellent communication, negotiation, and presentation skills.
  • Ability to work collaboratively across departments and with external stakeholders.
  • Strong analytical and problem-solving abilities. Self-motivated with the ability to work independently
  • Ability to operate in a fast-paced, changing environment
  • Ability to manage multiple priorities effectively and meet deadlines
