Contracts Counsel

Location: Remote

Schedule: Part-Time (~15-20hrs/week)

Summary:

We are seeking a businessโ€‘minded partโ€‘time Contracts Counsel to support our commercial operations. This role will lead contract review and negotiation, oversee contract management processes, advise on commercial risk, and support policy development and governance.

This position is ideal for an attorney who enjoys working closely with business teams, managing highโ€‘volume contracting, and providing practical, solutionsโ€‘oriented legal guidance in a dynamic environment.

Your primary activities will include but are not limited to:

Commercial Contracting
  • Draft, review, and negotiate a wide range of commercial agreements, including:
    • customer, distributor, and reseller agreements
    • marketing services agreements and SOWs
    • vendor, supplier, and manufacturing agreements
    • service, consulting, and marketing agreements
    • NDAs, amendments, renewals, and termination agreements
  • Identify and advise on legal, financial, and operational risks and propose practical solutions
  • Partner directly with sales, marketing, finance, procurement, and operations teams to support business objectives
  • Develop and maintain contract templates, playbooks, and standard clauses
Contract Lifecycle Management
  • Oversee and optimize contract workflows within the contract management (CLM) system
  • Ensure efficient intake, review, approval, execution, and recordโ€‘retention processes
  • Track key contract terms, obligations, renewals, and expirations
  • Drive process improvements and legal operations best practices
Policy & Governance
  • Draft, review, and update internal policies and procedures related to commercial operations
  • Support governance, compliance, and internal controls initiatives
  • Ensure consistency between contracting practices and internal policies
General Commercial Legal Support
  • Provide dayโ€‘toโ€‘day legal support on a variety of commercial and operational matters
  • Collaborate crossโ€‘functionally with legal, regulatory, quality, and business teams
Youโ€™ll need the following (minimum qualifications): Required:
  • Juris Doctor (JD) from an accredited law school
  • Active bar membership in at least one U.S. jurisdiction
  • 5โ€“8+ years of relevant experience in commercial contracting (inโ€‘house or law firm)
  • Significant experience drafting and negotiating complex commercial agreements
  • Strong ability to independently identify and assess legal and business risks
  • Experience working with contract management systems or similar tools
  • Excellent communication and stakeholder management skills
Preferred
  • Inโ€‘house experience supporting a supplements, CPG, food & beverage, or regulated industry
  • Familiarity with customer onboarding, credit review, or commercial risk processes
  • Interest in legal operations and process improvement

A reasonable estimate of the current base hourly range for this position is $100 to $130. Actual compensation offered may vary depending on skill level, experience, and/or education.
