Responsibilities:
• Prepare and coordinate periodic and event-driven regulatory submissions, including support for public company reporting and insider-related filing requirements.
• Organize and maintain corporate governance documentation, including board materials, committee records, meeting minutes, resolutions, and official entity books.
• Track legal entity status and ensure subsidiaries remain compliant and in good standing across domestic and international jurisdictions.
• Assist with the review, routing, and administration of commercial agreements such as confidentiality agreements, service contracts, licensing documents, and supplier arrangements.
• Perform legal research on corporate, securities, and regulatory matters to support internal decision-making and compliance activities.
• Partner with outside counsel, regulatory agencies, consultants, and internal stakeholders to move legal projects forward efficiently.
• Monitor legislative and regulatory developments that may affect company operations, with attention to regulated industrial and energy-related sectors.
• Contribute to compliance initiatives involving ethics, insider trading controls, and whistleblower-related procedures.
• Provide support for mergers, acquisitions, and other strategic transactions through due diligence, document coordination, and records management.
• Assist with land-related legal matters, including lease documentation, mineral interests, private property issues, and consultant engagement tracking and invoicing support.• At least 5 years of paralegal experience, including substantial exposure to corporate legal work in a regulated or public company environment.
• Associate’s or Bachelor’s degree, paralegal certificate, or a comparable combination of education and relevant work experience.
• Working knowledge of securities regulations and experience supporting public company filings; familiarity with Canadian corporate or securities filings is advantageous.
• Background in contract support, corporate governance, compliance documentation, and legal research.
• Proficiency with Microsoft Office and legal technology platforms used for document management, board administration, e-signature workflows, and disclosure reporting.
• Strong organizational skills with the ability to manage multiple deadlines while maintaining accuracy and discretion.
• Excellent written and verbal communication skills, along with sound judgment in handling confidential information.
• Experience in energy, natural resources, chemical extraction, or similarly regulated industries, and familiarity with AI-enabled legal tools, are considered beneficial.
