The Corporate Paralegal provides legal and administrative support to the organization's legal team. This role is responsible for independently reviewing and negotiating routine legal documents, maintaining legal records and contract databases, supporting corporate governance activities, assisting with transactional and compliance matters, and coordinating legal processes in a fast-paced corporate environment. The Corporate Paralegal exercises sound judgment, maintains confidentiality, and collaborates with internal stakeholders and external business partners to support the company's legal, contractual, and compliance objectives.

Responsibilities:

  • Maintain and administer legal databases, including employment agreements, customer contracts, vendor agreements, leases, and related legal records.
  • Review and approve vendor insurance documentation, including certificates of insurance (COIs) and endorsements.
  • Independently review, revise, and negotiate non-disclosure agreements (NDAs) and other routine legal documents.
  • Prepare, edit, proofread, and format legal documents to ensure accuracy, consistency, and professional presentation.
  • Complete customer representations, certifications, and other legal support documentation.
  • Support contract review and administration processes across the organization.
  • Assist with corporate governance activities, including maintaining corporate records and supporting entity management requirements.
  • Support merger and acquisition due diligence activities and related corporate transactions.
  • Respond to subpoenas and other court-ordered requests for production of records and documents.
  • Assist attorneys with collections matters, claims management, and litigation support activities.
  • Verify international business partners are not included on applicable U.S. Government sanctions lists.
  • Provide administrative support and complete special projects and assignments as needed.

Required Experience and Skills:

  • 3-5 years of paralegal, corporate legal, or related legal experience.
  • Ability to work independently and exercise sound judgment with minimal supervision.
  • Proficiency with Microsoft Office Suite, including Word, Excel, and Outlook.
  • Proficiency with SharePoint and Adobe products.
  • Strong organizational and project management skills with the ability to manage multiple priorities and deadlines.
  • Exceptional attention to detail and accuracy in document preparation and review.
  • Strong analytical, critical thinking, and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to maintain confidentiality and manage sensitive information appropriately.
  • Georgia Notary Certification.

Additional requirements:

  • Familiarity with government contracting preferred.
  • Experience supporting an in-house legal department or corporate law practice preferred.
  • Experience with corporate governance and entity management activities preferred.
  • Experience maintaining contract or legal databases preferred.
  • Experience utilizing legal technology platforms, contract management systems, or enterprise AI tools preferred.
