Job description

The Paralegal Clerk is a valued member of our Corporate & Finance practice, specifically within the Banking and Fund Finance practice areas, and provides support to lawyers across a variety of complex, challenging legal and business issues in their department. They enjoy a broad range of responsibilities, including performing research, drafting documents, and assisting with the preparation and filing of transactional documents.
Also, they will support attorneys with daily requests and combine their own skills with the state-of-the-art technology and the assistance of an extensive administrative staff. Our Paralegal Clerk will help Hogan Lovells Cadwalader attorneys provide a superior level of legal representation.
This position is ideal for a recent college graduate with strong academic credentials who is interested in developing practical experience in sophisticated corporate and financial transactions within a collaborative, global law firm environment. The ideal candidate will be expected to take the initiative to innovate solutions to everyday challenges, demonstrate strong attention to detail, exercise sound judgment, possess excellent communication skills, and be collaborative and team-oriented. As a vital member of the team, they may take on significant responsibility in coordinating processes for projects alongside attorneys and clients.
The position's primary responsibilities will include:
  • Provide support to attorneys and senior paralegals on corporate and finance transactions, including fund finance, private credit transactions, insurance capital solutions, and various other transactions.
  • Prepare, organize, and maintain transaction documents, signature packets, transaction binders and checklists, and track transaction timelines and deadlines.
  • Assist with due diligence and draft routine corporate documents, including UCC filings, certificates, resolutions, and organizational charts under attorney supervision.
  • Coordinate state and regulatory filings and maintain corporate and transactional records.
  • Prepare closing binders and assist with post-closing documentation and deliveries.
  • Maintain electronic and physical files in accordance with firm policies and procedures.
  • Communicate professionally with internal teams and external service providers.
  • All members of the firm are encouraged to participate in the Global Responsible Business program.
  • Meet the minimum requirement of 1,650 annual billable hours.
  • Other duties as assigned.

QUALIFICATIONS
REQUIRED SKILLS
  • Excellent written and verbal communication skills.
  • Superior attention to detail and strong organizational skills.
  • Ability to manage multiple tasks and deadlines in a fast-paced environment.
  • Proficiency in Microsoft Office, including Word, Excel, and Outlook.
  • Professional demeanor and strong work ethic.
  • Proven ability to maintain the utmost confidentiality in highly sensitive matters.
  • Prior office experience and potential interest in future law school attendance preferred.
  • Willingness to work overtime, including evenings and weekends, as necessary to support transaction timelines and client needs.

EDUCATION, CERTIFICATIONS, AND/OR EXPERIENCE
  • Bachelor's degree required or equivalent combination of education and work experience.
  • 0 to 2 years of professional work experience or comparable internship experience.
  • Large law firm experience desirable.

HOURS
Core hours are Monday through Friday, 9:00 a.m. to 5:30 p.m., with the willingness and ability to work additional hours as needed.
In New York, the expected base salary for this role is $63,900 per year.
This range reflects a good-faith estimate of pay at the time of posting; the actual compensation offered may vary depending on factors such as the candidate's qualifications. This position is eligible for additional forms of compensation, which may include annual discretionary bonuses. Employees in this role are also eligible for benefits offered by the firm, subject to applicable plan terms and conditions, which currently include medical, dental, and vision insurance; a 401(k) retirement plan; and paid time off.
