Job description

Position Summary:

The Corporate Counsel role, as a key member of the Legal and IP Department of Gleason, will serve as a commercial generalist and provide support and project management on a broad range of commercial transactions and other projects involving Gleason’s global subsidiaries.  The Corporate Counsel will assist in the administration and support of Gleason’s Intellectual Property Program and Compliance Program as well.

Job Responsibilities:

 

Commercial Transactions

  • Review, draft, and negotiate a wide range of agreements for internal client groups, including but not limited to non-disclosure agreements, software and other license agreements, joint development agreements, vendor and supplier agreements, sales agreements, and terms and conditions of sale/purchase, and leases.
  • Provide legal support to various departments in the Company on transactional matters, ensuring that contracts comply with internal policies, risk tolerances, and sound business practices.
  • Evaluate issues and risks, recommend potential solutions, and identify trends relating to regulatory matters, intellectual property, employment law, privacy, and data protection.
  • Collaborate on the continuing development of the Company’s contracting lifecycle management tools, processes, and workflows, commercial contract templates, and terms and conditions to develop a scalable, business-centric approach to commercial agreements.

Intellectual Property Support

  • Assist in managing the Company’s intellectual property portfolio, including trademarks, patents, copyrights, and trade secrets.
  • Work with internal resources and external counsel to enforce the Company’s IP rights and defend against claims of infringement.
  • Support the development and implementation of the Company’s IP strategy in alignment with its business objectives.

 

Litigation, Compliance, Risk Management, Strategic Transactions, and Other Matters

  • Serve as a trusted legal advisor concerning regulatory compliance matters involving Gleason’s global business; provide training on compliance-related topics.
  • Assist with developing and updating policies, standard operating procedures, handbooks, and other communications in compliance with federal, state, and local laws.
  • Identify potential areas of compliance vulnerability and risk; develop and implement corrective action plans for resolution of problematic issues.
  • Assist in managing litigation and other disputes involving the Company with the ability to drive practical and strategic decisions.
  • Support on strategic transactions, including M&A, financing, and equity matters.
  • Support global legal entity management of the organization.
  • Consult with and oversee work by outside counsel.
  • Research and advise on legal issues impacting the organization.

Qualifications (Knowledge, Skills & Abilities):

  • Strong organizational, time management, and communication skills – ability to multi-task.
  • Must be a self-starter, highly motivated, possess a strong work ethic, and demonstrate an ability to operate independently.
  • Strong command of a wide variety of commercial transactions and the curiosity to further develop in other areas of the law, including regulatory compliance and employment law.
  • Ability to analyze data, draw conclusions, and present findings in written or presentation form.
  • Ability to work collaboratively within a team environment and interact effectively with individuals at all levels of the organization.
  • Ability to apply good business judgment in connection with providing legal advice to the business.

 

Preferred Education/Training/Experience:

  • Juris Doctorate required from an ABA-accredited law school and a valid license to practice law in New York State or admission to the Bar in at least one state with the ability to obtain in-house registration in New York.
  • 3-5+ years of law firm experience, ideally with in-house experience.  
  • Experience working in or with clients in the manufacturing industry is a plus.

Computer Skills:

  • High degree of proficiency with Microsoft Office (Word, Excel, PowerPoint, and Outlook)

 

Travel Requirements:

Occasional travel – day and overnight may be required.
