We are seeking a highly skilled Corporate Attorney with 3-7 years of experience to join our dynamic in-house legal team. The ideal candidate will play a key role in negotiating customer Master Service Agreements (MSAs), reviewing vendor agreements, managing ad hoc legal projects, handling customer contract disputes, addressing employee legal matters, and overseeing external law firms. Additionally, the Corporate Attorney will collaborate on corporate policies, including employee handbooks, remote work policies, and other legal documentation.


Key Responsibilities:

  • Negotiate Customer MSAs: Lead the negotiation, drafting, and review of Master Service Agreements (MSAs) with customers, ensuring compliance with company policies and legal requirements while protecting the company's interests.
  • Maintain Company Contract Templates: Maintain and update all company corporate contract templates including MSA, NDA, BAA, independent contractor, restrictive covenant, and others.
  • Review Vendor Agreements: Review, draft, and negotiate vendor agreements, ensuring that terms align with company goals and legal obligations.
  • Manage Ad Hoc Legal Projects: Take ownership of and manage various ad hoc legal projects, collaborating with internal stakeholders and external parties to achieve successful outcomes.
  • Manage Customer Contract Disputes: Act as the primary point of contact for managing and resolving customer contract disputes, working closely with internal teams, external counsel, and customers to reach timely and effective resolutions.
  • Employee Legal Matters: Provide legal guidance on employee-related issues, including employment contracts, employee disputes, terminations, and compliance with labor laws.
  • Manage External Law Firms: Manage relationships with external law firms, ensuring that outside counsel provides timely, cost-effective, and quality legal services in line with the company's needs.
  • Collaborate on Corporate Policies: Collaborate on corporate policies, including the employee handbook, remote work policies, and other workplace regulations. Ensure that policies are regulatorily up-to-date, compliant with applicable laws, and effectively communicated to all employees.

Requirements:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: 3-7 years of experience as a corporate attorney, ideally within a corporate in-house legal department or law firm specializing in corporate law.
  • Skills:
  • Demonstrated experience using AI-powered legal technology to support contract drafting, review, and legal research, with sound judgment about verifying AI-generated output and safeguarding client confidentiality.
  • Strong contract negotiation and drafting skills.
  • Experience with employment law, vendor agreements, and corporate governance.
  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving skills.
  • Ability to manage multiple projects and prioritize effectively.
  • Experience managing external law firms and vendors.
  • Certifications: Must be a licensed attorney in Maryland.

Preferred Skills:
