Senior Manager – Mortgage Capital Markets

Position Overview

Our client is seeking a Senior Manager – Mortgage Capital Markets & Structured Transactions to lead complex mortgage-related transactions across securitization, whole loan sales, and mortgage servicing rights (MSR) activities.

This is a senior individual contributor role operating at the intersection of capital markets, credit, legal, and operations. The position requires deep mortgage capital markets expertise and the ability to independently drive transactions from structuring through closing while maintaining disciplined risk governance and documentation standards.

The role is highly visible and requires strong executive presence, sound judgment, and cross-functional leadership.

  • Whole Loan Sales & Bulk Loan Transactions

  • Mortgage Servicing Rights (MSR) Transactions

  • Transaction Structuring & Deal Coordination

  • Purchase & Sale Agreements / Contract Negotiation

  • Regulatory & Policy Compliance in Mortgage Markets

  • Risk Identification & Mitigation in Structured Transactions

  • Cross-Functional Deal Execution


Key Responsibilities
  • Lead end-to-end execution of complex structured mortgage transactions, including:

  1. transaction structuring and economic analysis
  2. due diligence coordination
  3. documentation review and negotiation
  4. approval governance and compliance validation
  5. closing execution and post-close follow-up
     
  • Oversee securitizations, whole loan sales, MSR transfers, and related structured activities.

  • Partner directly with legal, credit, finance, operations, and external counterparties to ensure transaction integrity and timeliness.

  • Identify structural, financial, operational, and compliance risks early in the transaction lifecycle.

  • Review and negotiate purchase agreements, servicing agreements, and related documentation.

  • Ensure alignment with regulatory requirements and internal policy standards.

  • Drive improvements in transaction workflow, controls, and scalability.

  • Support long-term capital markets strategy and structured program growth initiatives.


Qualifications
  • Bachelor’s degree in Finance, Business, Real Estate, or related discipline (advanced degree preferred).

  • 10–20+ years of experience in mortgage capital markets, structured finance, or transaction management within a financial institution, mortgage platform, or secondary market environment.

  • Direct hands-on experience executing securitizations, whole loan sales, and/or MSR transactions.

  • Strong understanding of mortgage transaction structures, documentation, and investor considerations.

  • Proven ability to independently lead complex transactions with minimal oversight.

  • Exceptional written and verbal communication skills with senior stakeholders.

  • Strong analytical judgment and risk assessment capabilities.


Preferred Experience
  • Experience within a bank or structured mortgage platform.

  • Familiarity with regulatory frameworks governing mortgage capital markets activities.

  • Exposure to balance sheet management and liquidity strategy considerations.

  • Experience leading cross-functional transaction teams in complex environments.
