Mortgage Loan Repurchase Facility & Warehouse Lending Associate Attorney
Locations: Philadelphia, PA | New York, NY | Charlotte, NC
Direct Counsel is seeking a Mortgage Loan Repurchase Facility & Warehouse Lending Associate Attorney to join the Global Finance practice of a premier Am Law firm. This is an exceptional opportunity to join a nationally recognized finance team representing both lenders and borrowers in sophisticated mortgage loan warehouse transactions utilizing repurchase facility and loan-on-loan structures.

The ideal candidate will have substantial experience in mortgage warehouse lending or related structured finance transactions. The practice represents many of the leading warehouse facility providers in the commercial real estate finance market.
Responsibilities

  • Represent lenders and borrowers in mortgage loan warehouse lending transactions utilizing repurchase facility and loan-on-loan structures.
  • Draft, review, and negotiate term sheets, credit agreements, repurchase agreements, warehouse lending documentation, and related transaction documents.
  • Structure and execute sophisticated financing facilities involving commercial and residential mortgage assets.
  • Serve as a key member of transaction teams, managing significant aspects of deals from initial term sheet negotiations through closing.
  • Collaborate with clients and internal deal teams to efficiently manage complex financing transactions.
  • Work closely with attorneys across the Global Finance practice on innovative warehouse lending and structured finance matters.

Qualifications

  • J.D. from an accredited law school with strong academic credentials.
  • Experience with mortgage loan repurchase facilities and warehouse lending transactions.
  • Hands-on experience preparing and negotiating term sheets and financing documentation for warehouse lending facilities.
  • Demonstrated ability to manage key aspects of financing transactions from term sheet through closing.
  • Commercial or residential mortgage warehouse lending experience is preferred; candidates with broader asset-backed securities (ABS) warehouse lending experience will also be considered.
  • Large law firm experience is strongly preferred.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.
