Job description

POSITION OVERVIEW:

Provide practical, business-oriented legal counsel across commercial transactions, construction and industrial projects, manufacturing operations, risk management, regulatory compliance, labor and employment matters, and dispute resolution.

KEY JOB RESPONSIBILITIES:

  • Contracts
    • Draft, review, negotiate, and manage a broad range of commercial agreements, including modular equipment and construction installation sales agreements, service agreements, purchase orders and vendor contracts, confidentiality agreements, licensing and technology agreements
    • Identify potential risks associated with contract terms and conditions and work with stakeholders to mitigate those risks
    • Support the Procurement department in the RFP process for strategic purchases
    • Ensure that customer contract requirements are understood and effectively flowed down to our applicable subcontractors
    • Provide training and support to team members on contract management processes and best practices
  • Regulatory Compliance
    • Monitor and advise on compliance with applicable federal, state, and local regulations.
    • Support compliance efforts related to:
      • OSHA and workplace safety
      • Environmental regulations
      • Manufacturing standards
      • Transportation and logistics requirements
      • Import/export controls
      • Anti-corruption and ethics policies
    • Conduct internal compliance reviews and training programs
  • Employment and Labor Matters
    • Advise Human Resources and management on employment law issues
    • Support investigations involving employee relations matters
  • Claims and Litigation Management
    • Manage pre-litigation disputes and claims involving customers, suppliers, subcontractors, and employees
    • Coordinate and oversee outside counsel
    • Support litigation strategy, discovery responses, and settlement negotiations
    • Maintain litigation reserves and reporting as required
    • Partner with risk management personnel to review insurance coverages and claims
  • Corporate Governance
    • Support corporate governance activities, including board meetings, resolutions, corporate records, and entity management
    • Assist with mergers, acquisitions, joint ventures, and strategic partnerships
    • Coordinate with outside counsel on complex corporate transactions
    • Develop corporate policies, procedures, and governance requirements
  • IP
    • Assist with protection and management of company intellectual property assets
    • Any other responsibilities as assigned by TAS

JOB SKILLS:

EDUCATION & TRAINING:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.

PREFERRED REQUIREMENTS:

  • 0-5 years of legal experience, preferably with a combination of:
    • Corporate law firm practice
    • In-house legal experience
    • Manufacturing, construction, industrial services, energy, or engineering industries
    • Experience negotiating complex commercial contracts and project agreements.
    • Familiarity with modular construction, manufacturing, and industrial operations preferred.

PHYSICAL REQUIREMENTS/WORK ENVIRONMENT:

Position is at least 80% to 95% at a desk working with computer. Ability to exert up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body. Performs other physical activities including use of fingers, sitting, stooping, bending, crouching, talking, hearing, and performing repetitive motions. Visual acuity requirements include color, depth perception and field of vision necessary to prepare and analyze data and figures, operate a computer terminal, and conduct extensive reading. The incumbent will be subject to inside environmental conditions.
