Who We Are Looking For 

Phoenix Tailings is looking for a Legal Counsel-Commercial Contracts to own and drive the legal backbone of our commercial operations. This role will be critical in structuring, negotiating, and executing the agreements that enable us to build, scale, and deploy clean metals production globally. You will work directly on the deals that bring our technology to market, ensuring speed, clarity, and protection as we partner with customers, suppliers, and strategic collaborators.

 
Key Responsibilities:
  • Draft, review, and negotiate a high volume of commercial agreements, including supply, offtake, services, and vendor contracts
  • Structure and negotiate strategic partnership agreements supporting deployment of Phoenix Tailings' technology
  • Develop and standardize contract templates and playbooks to streamline commercial execution
  • Support sales and business development teams in structuring deals and resolving contractual issues
  • Identify and resolve legal and commercial risks in customer and supplier agreements
  • Lead contract negotiations through execution, including redlining and counterparty discussions
  • Support project-based agreements tied to facility development, equipment procurement, and operations
  • Provide legal input on pricing structures, payment terms, and performance obligations within contracts 
Qualifications:
  • J.D. and active membership in at least one U.S. state bar
  • Extensive experience drafting and negotiating commercial agreements
  • Direct experience with supply, services, vendor, or offtake agreements
  • Experience leading contract negotiations and managing counterparties through execution
  • Experience supporting sales or business teams in structuring commercial deals
  • Familiarity with contract lifecycle management and template development
  • Experience working in industrial, manufacturing, energy, or technology-driven environments

This pay range reflects best estimate for the total cash compensation which includes salary + discretionary bonus for this role. Total package may vary based on experience and qualifications.

Pay Range: $130,000- $180,000 total cash compensation plus equity
