Job description

Blue Sky Utility/ย Nofarย USA, a renewable energy development and operations company focused on large-scale solar and energy storage, is seeking a Director of Mergers & Acquisitions.

The Roleย 

We'reย looking for an experiencedย Director ofย M&A to lead the sourcing, evaluation, structuring, and execution ofย renewable energy,ย battery storageย andย orย thermal energyย acquisitions across the U.S.ย You'llย work closely with Development, Finance, and Legal to underwrite deals, build and review financial models, and drive transactions fromย origination,ย initial diligence through to closing. This is a high-visibility, hybrid role based out of our Fort Lauderdale office, on a lean, fast-moving team.ย 

What You'll Doย 

  • Lead and/orย assistย theย originationย and negotiation of M&A opportunities.ย ย 
  • Lead the build and review of detailed financial models for solar and BESS acquisitions, including project-level and portfolio-level returns.ย 
  • Own due diligence workstreams on acquisition targets - reviewing interconnection agreements, PPAs/offtake structures, EPC contracts, permits, land rights, and title, and flagging risks to leadershipย 
  • Evaluate and help structure special-situation and off-market opportunities, including assets sourced through Chapter 11 and other court-supervised processesย 
  • Prepare and present investment memos, valuation summaries, and board-level materials to support go/no-go decisionsย 
  • Structure and analyze capital stacks involving tax equity, ITC transferability, project debt, and back-leverage facilitiesย 
  • Track and benchmark market comparables (recent transactions, pricing, market multiples) across ERCOT, NYISO, ISO-NE, SERC, andย additionalย US markets.ย ย 
  • Directly support negotiations by modeling deal scenarios, sensitivities, and purchase price adjustments, and by liaising with counterparties on deal termsย 
  • Coordinate with internal Development, Finance,ย Accounting,ย Legal, and Asset Management teams, as well as external counsel, lenders, tax equity investors, and advisors, throughout the transaction lifecycleย 
  • Maintain and prioritize a pipeline of acquisition opportunities, counterparties, and deal statusย 

Requirements

What You'll Bringย 

  • 5-10ย years of experience inย renewable energyย M&Aย fromย investment banking, private equity, infrastructure investing,ย IPPs, developers, or consulting.ย ย 
  • Advanced financial modeling skills (good commandย Excel; deep experience building and stress-testing project financeย models from scratch)ย 
  • Solid working knowledge of renewable energy transaction structures - PPAs, interconnection, tax equity, ITC/PTC, and project-level debtย 
  • Track recordย of owning diligence workstreams independently and synthesizing complex materials (contracts, permits, engineering reports) into clear, decision-ready recommendationsย 
  • Direct experienceย inย deal negotiations and interfacing with counterparties, lenders, and advisorsย 
  • Comfortย operatingย with ambiguity and competing deadlines in a fast-paced, entrepreneurial environmentย 
  • Excellent written and verbal communication skills, with experience preparing and presenting investment committee or board-level materialsย 
  • Bachelor's degree in Finance, Economics,ย Business Admin,ย or a related fieldย (Lawย degreeย -advantage)ย 
  • High attention to detail and strong organizational skills; ability to manage multiple live deals simultaneously and prioritize under pressure.ย
