Capital Markets Managing Associate Attorney

Locations: San Francisco, CA | Boston, MA | New York, NY
Salary: $310,000–$390,000

Direct Counsel is seeking a Capital Markets Managing Associate Attorney to join a leading global law firm's Capital Markets practice. This opportunity is ideal for an associate with 4–6 years of experience in equity and/or debt capital markets.

The successful candidate will work with innovative technology and life sciences companies throughout their corporate life cycles, from initial public offerings through their operations as public companies. The role also provides exposure to leading investment banks, venture capital funds, and institutional investors in sophisticated public equity and debt capital markets transactions.

Responsibilities
  • Represent public and private companies in sophisticated equity and debt capital markets transactions.
  • Advise clients on capital raising strategies and public securities offerings.
  • Support initial public offerings and follow-on public offerings.
  • Handle public equity and debt offerings for technology and life sciences companies.
  • Represent investment banks, venture capital funds, and institutional investors in capital markets transactions.
  • Draft, review, and negotiate registration statements, offering documents, underwriting agreements, purchase agreements, and other transaction documents.
  • Conduct legal research and analyze applicable securities laws and regulations.
  • Coordinate due diligence and transaction processes with clients, investment banks, investors, and other transaction participants.
  • Manage transaction workstreams and timelines from inception through closing.
  • Assist public company clients with ongoing securities and capital markets matters.
  • Work closely with partners and clients while taking increasing responsibility for sophisticated transactions.
Qualifications
  • J.D. from an accredited law school.
  • Strong academic credentials.
  • 4–6 years of experience in equity and/or debt capital markets.
  • Significant experience with public securities offerings, including equity and debt transactions.
  • Major or peer law firm experience preferred.
  • Strong transactional drafting and analytical skills.
  • Excellent client service and interpersonal skills.
  • Superior written and verbal communication abilities.
  • Strong organizational and project management skills.
  • Motivated, entrepreneurial, and proactive approach to client service.
  • Ability to work effectively in a fast-paced, collaborative environment.
  • Bar admission in the state where the candidate will practice required.
