Job description

Reiferson Dee PLC is a law firm of seasoned attorneys with a nationwide practice. We represent institutional lenders, loan servicers and borrowers in commercial and multifamily real estate transactions. The firm is recognized for its depth of knowledge and experience and is relied upon for resolving the complex issues that develop during the life cycle of a commercial real estate loan. We have significant expertise in balance sheet and securitized lending, and CMBS and agency origination and servicing, with experience in virtually every aspect of real estate finance transactions.
Reiferson Dee is seeking to add an Associate Attorney to the team. In this role, you will represent lenders in sophisticated commercial real estate finance transactions, with a primary focus on multifamily housing originations, structured finance transactions, and securitization due diligence. You will work closely with clients, attorneys, lenders, and other transaction participants to structure, negotiate, document, and close complex commercial real estate financing transactions.
The Associate Attorney will independently manage multiple transactions while benefiting from robust training and professional development with the firm's Managing Member and other experienced members of the firm. This includes hands-on mentorship and shadowing opportunities designed to deepen your knowledge of the firm's practice and provide exposure to sophisticated commercial real estate finance transactions. The role also offers a path toward membership. We are seeking an attorney with strong commercial real estate finance experience, exceptional legal drafting and negotiation skills, attention to detail, and a desire to continue learning and growing within an experienced team.
Note: This is a remote position and requires an initial three-week, in-person training period at the firm's Canonsburg, Pennsylvania office.
Essential Responsibilities:
  • Multifamily Loan Originations: Represent lenders in the origination, structuring, negotiation, and documentation of multifamily commercial real estate loans, including conventional, affordable housing, manufactured housing, seniors housing, and student housing transactions.
  • Securitization Due Diligence: Conduct comprehensive mortgage loan due diligence and prepare exceptions to representations and warranties made to investors in connection with securitized loan pools.
  • Structured Finance Transactions: Represent clients in the origination, structuring, negotiation, and documentation of structured finance vehicles, including lines of credit, long-term financing facilities, participation interests, and PC swap transactions.
  • Transaction Management: Manage multiple commercial real estate finance transactions simultaneously, ensuring deadlines, client expectations, and closing timelines are consistently met.
  • Legal Drafting & Negotiation: Draft, review, and negotiate loan documents, transaction agreements, legal opinions, and related financing documentation while identifying and mitigating legal risk.
  • Client & Stakeholder Collaboration: Communicate regularly with clients, opposing counsel, lenders, title companies, servicers, and other transaction participants to facilitate efficient transaction execution and maintain exceptional client service.
  • Legal Research & Risk Analysis: Analyze legal issues affecting commercial real estate finance transactions and provide practical, business-oriented legal advice to clients and firm attorneys.
  • Training & Professional Development: Participate in ongoing training, mentorship, and shadowing opportunities with the Managing Member and other experienced attorneys to deepen knowledge of the firm's practice and further develop expertise in complex commercial real estate finance transactions.
  • Industry Knowledge: Stay current on developments in commercial real estate finance, agency lending requirements, and applicable laws and regulations affecting client matters.
Education and Work Experience:
  • Minimum of three years of transactional experience in commercial real estate finance.
  • Juris Doctor (J.D.) degree from an accredited law school and an active license to practice law in good standing.
  • Experience drafting and negotiating complex commercial loan documents and managing financing transactions from inception through closing.
  • Experience conducting legal due diligence related to commercial real estate financing and securitization transactions.
  • Experience with Freddie Mac and/or Fannie Mae multifamily financing transactions is strongly preferred.
