OTT Financial Group is a diversified financial services organization operating across payments, fintech, wealth management, real estate, and global financial infrastructure.

Through its flagship payments platform, OTT Pay, the Group serves thousands of merchants and consumers across Canada and internationally. As the organization continues its growth and prepares for future capital markets initiatives, we are seeking an experienced legal operations leader to strengthen corporate governance, legal administration, contract management, and external counsel coordination.

Position Summary

The Director, Legal Operations & Corporate Governance will be responsible for managing the Company's day-to-day legal operations, corporate governance framework, contract lifecycle management, regulatory documentation, litigation administration, and coordination of external legal counsel.

This role is not required to be a licensed lawyer. However, candidates must possess extensive experience in corporate legal administration, law firm operations, governance management, or senior paralegal functions.

The successful candidate will serve as the central point of coordination between management, regulators, external counsel, auditors, investors, and business units.


Key Responsibilities

Corporate Governance

  • Manage corporate records, minute books, resolutions, annual filings, and governance documentation.
  • Coordinate Board of Directors and shareholder meetings.
  • Prepare board packages, resolutions, governance materials, and corporate approvals.
  • Maintain corporate entities across Canada, the United States, Hong Kong, Singapore, and other jurisdictions.


Contract Management

  • Draft, review, organize, and administer merchant, vendor, employment, partnership, service, licensing, and real estate agreements, as well as NDAs.
  • Maintain contract lifecycle management systems.
  • Track renewal dates, compliance obligations, and key contractual milestones.


Legal Operations

  • Serve as the primary liaison with external law firms.
  • Coordinate litigation files and legal proceedings.
  • Manage legal budgets and legal service providers.
  • Oversee legal document management systems.
  • Implement legal process improvements and automation.


Regulatory & Compliance Support

  • Support regulatory filings and licensing requirements.
  • Assist compliance teams in responding to regulatory inquiries.
  • Coordinate documentation related to FINTRAC, RPAA, MSB registrations, privacy regulations, and payment industry compliance initiatives.


Employment & HR Legal Support

  • Coordinate employment-related documentation.
  • Support workplace investigations and disciplinary documentation.
  • Maintain employment policy records.
  • Assist with labour and employment law matters through external counsel.


Corporate Transactions

  • Support financing transactions.
  • Assist with M&A due diligence.
  • Coordinate data rooms and transaction documentation.
  • Support future public market and listing initiatives.


Intellectual Property

  • Maintain trademark portfolios.
  • Coordinate trademark and IP filings.
  • Manage IP renewals and registrations.


Required Qualifications

  • 8+ years of legal operations, corporate governance, corporate law clerk, paralegal, or law firm experience.
  • Experience in financial services, fintech, payments, banking, public companies, securities transactions, or M&A transactions preferred.
  • Experience managing corporate records and governance matters.
  • Strong contract administration experience.
  • Contract management systems, corporate records management, board governance software, Microsoft Office Suite, and document management systems preferred.
  • Diploma or degree in Law, Business Administration, Corporate Governance, Paralegal Studies, or Legal Administration.
  • Highly organized with strong attention to detail.
  • Excellent written and verbal communication.
  • Ability to manage confidential information.
  • Strong project management skills.
  • Ability to work directly with executives and external counsel.
