Job description

The Paralegal - Commercial Contracts supports the legal team in drafting, reviewing, and managing a wide range of commercial contracts. This role requires the ability to contribute with minimal supervision, manage a high volume of work, and apply sound judgment in a fast-paced environment.
Key Responsibilities:
  • Draft, review, and revise commercial agreements, including NDAs, SaaS agreements, vendor and supplier agreements, customer contracts, purchase agreements, leases, service agreements, licensing agreements, and amendments
  • Prepare first drafts using templates and playbooks; identify and escalate non-standard terms
  • Review contracts against established guidelines and flag legal and business risks
  • Manage contract lifecycle in CLM system (e.g., LinkSquares), including intake, tracking, execution, and storage
  • Coordinate internal approvals and signatures, including use of e-signature tools
  • Maintain and update templates, clause libraries, and contract records
  • Communicate with internal stakeholders (procurement, sales, finance, operations) to gather information and resolve issues
  • Support high-volume contract workflows and assist in reducing backlog
  • Assist with due diligence, audits, and reporting, including extracting data from CLM systems
  • Support compliance with internal policies and applicable laws and regulations

Required Qualifications
  • Bachelor's degree or paralegal certificate
  • 3+ years of experience supporting commercial contracts in a law firm or in-house legal department
  • Experience with a range of agreements, including SaaS agreements, purchase agreements, and leases
  • Hands-on experience with contract lifecycle management systems (LinkSquares preferred)
  • Strong familiarity with common commercial contract terms and structures
  • Proficiency in Microsoft Office (Word, Excel, Outlook)

Preferred Qualifications
  • Experience in a corporate legal department
  • Experience administering or optimizing CLM systems (e.g., LinkSquares)
  • Working knowledge of privacy and data protection regulations (e.g., CCPA, GDPR)
