Job description

Our client is seeking a mid-level corporate associate to join its Capital Markets and Securities practice in Houston. The ideal candidate will have 3–6 years of experience at a large law firm advising on a broad range of capital markets transactions and public company matters.

Key Responsibilities & Experience
  • Representing issuers and underwriters in public and private debt and equity offerings, including IPOs and follow-on offerings
  • Advising public companies on Securities Exchange Act of 1934 reporting requirements
  • Counseling clients on corporate governance, SEC compliance, stock exchange requirements, and disclosure obligations
  • Supporting a variety of transactional matters, including capital raising activities, PIPE transactions, and mergers and acquisitions

Our client has a well-established and broad-based securities practice, advising both public and private companies across the full spectrum of capital markets and corporate governance matters.

Qualifications
  • 3–6 years of relevant experience at a large law firm
  • Juris Doctor (JD) with strong academic credentials
  • Admission to and good standing with the Texas State Bar
  • Strong drafting, analytical, and communication skills
  • Sound business judgment and ability to manage multiple matters in a fast-paced environment
