LeoLabs is seeking a highly motivated, mission-driven Senior Corporate Counsel - International to support our continued global expansion. This role is primarily focused on international corporate governance, compliance, and entity management, with responsibility for building and maintaining LeoLabs' global legal and subsidiary infrastructure as we scale across APAC, EMEA, and beyond.
Reporting directly to the Chief Legal Officer, you will serve as a key legal leader responsible for ensuring strong governance, regulatory compliance, and operational readiness across LeoLabs' international entities. You will play a central role in establishing and maintaining subsidiaries in new markets and ensuring alignment with local legal and regulatory requirements.
This role is ideal for an attorney with deep international corporate experience, particularly in Asia and/or Europe, who has successfully built, managed, or scaled foreign subsidiaries or multinational legal structures.
*This role is based in the Chantilly, VA area and follows a hybrid work schedule, with onsite presence required as business needs dictate.
What You'll Do
Global Corporate Governance & Compliance
• Lead corporate governance and compliance efforts across LeoLabs' international subsidiaries
• Partner with local counsel to ensure entities remain in good standing and meet all statutory and regulatory obligations
• Manage corporate records, including board resolutions, powers of attorney, intercompany agreements, and entity documentation
• Maintain and update global legal entity structures and governance frameworks
International Entity Formation & Expansion
• Lead and support the formation of new legal entities across APAC, EMEA, and other international markets
• Drive end-to-end entity setup, including registration, governance structure, and operational readiness
• Oversee changes to directors, officers, signatory authority, and registered offices
• Develop and execute structured expansion plans for new international jurisdictions
• Strong preference for experience establishing and operating subsidiaries in Asia and/or Europe
Corporate & Regulatory Compliance (Global)
• Advise on international regulatory frameworks impacting entity operations, including corporate, employment, tax, real estate, insurance, and procurement considerations
• Ensure compliance with applicable international laws governing subsidiary operations
• Monitor and advise leadership on evolving global regulatory requirements
Strategic Transactions & Entity Integration
• Support corporate transactions including M&A, joint ventures, and entity integration or restructuring
• Assist with post-acquisition integration of international entities and governance alignment
• Provide practical, business-oriented legal guidance across cross-border initiatives
Risk & Legal Operations
• Identify and mitigate legal and regulatory risks across international operations
• Partner with internal stakeholders to ensure scalable and compliant global infrastructure
• Manage outside counsel across jurisdictions in a cost-effective manner
• Support the CLO with high-priority corporate and governance initiatives
Required Qualifications
  • J.D. from an ABA-accredited law school and active bar membership in at least one U.S. jurisdiction
  • Experience working in Asia and/or Europe strongly preferred
  • 8+ years of legal experience (law firm and/or in-house) with a strong focus on international corporate governance and subsidiary management
  • Demonstrated experience establishing, managing, or scaling international legal entities
  • Deep knowledge of global corporate governance frameworks and cross-border compliance requirements
  • Experience working with international regulatory regimes, including corporate, employment, tax, real estate, insurance, and procurement considerations
  • Strong drafting and organizational skills with exceptional attention to detail
  • Ability to independently manage multiple international priorities in a fast-paced environment
  • Strong judgment with a pragmatic, business-oriented approach
  • Collaborative mindset with a global, mission-driven orientation

Preferred Qualifications
  • Be eligible to obtain and maintain a U.S. personnel security clearance
  • Prior experience building or scaling international subsidiaries in multiple jurisdictions
  • Background in high-growth, venture-backed, or global technology companies
  • Exposure to aerospace, space technology, or SaaS environments (nice to have)
  • Experience with international procurement frameworks and cross-border contracting
  • Familiarity with export controls (EAR, ITAR)
  • Experience supporting M&A and post-merger integration of international entities
  • Understanding of intellectual property portfolio considerations in global structures
