The employee who fills this position will need to interact with clients and third parties who understand and communicate only in English. This position also requires the candidate to be able to interact fluently with colleagues in our offices across Canada, where English is the predominant language. Since we estimate that more than 60% of the work required for this position must be performed in English, the language requirements for this position are a high level of written and reading comprehension, as well as a beginner level of spoken communication.

We are recruiting for a Law Clerk/Paralegal to join our team in our Montreal office. The successful candidate must have a minimum of 1-2 years of experience in corporate law and will be responsible for preparing and filing corporate documents, conducting corporate searches and minute book reviews, maintaining corporate records and databases, assisting with corporate filings, and ensuring compliance with legislative and government requirements. McCarthy Tetrault employees benefit from a hybrid work environment.

As aLaw Clerk/Paralegal, you will be:

  • Preparing and drafting some or all of the following in addition to those in Assistant Law Clerk/Paralegal position (see end of document).  Completing this work with supervised direction using department checklists, where applicable. 
    • Annual returns and updating declarations
    • Annual resolutions/minutes
    • Incorporations and organizations
    • Extra-provincial registrations
    • Business name registrations
    • Amendment documents pertaining to name change, change of number of directors and change of registered head office
    • Short-form amalgamations and simple continuances
    • Standardized share conditions
  • Additional duties and responsibilities may include some or all of the following:
    • Requesting and interpreting corporate searches, then reviewing and summarizing the information gathered.
    • Conducting basic minute book reviews, with supervision and direction.
    • Ongoing training in corporate law.
    • Maintaining and updating databases.
    • Assisting with the preparation or filing of other documents.
  • Keeping current on changes in legislation and government policy and informing others as appropriate.
  • Ensuring quality and accuracy of work, and ensuring work is completed within reasonable time frames.

  • College Degree/Certificate in Paralegal studies.
  • Minimum 1-2 years of experience in corporate law.
  • Bilingualism (French and English).
