Senior Litigation Attorney – Mergers & Acquisitions Disputes

Compensation: $275,000–$425,000

Direct Counsel is seeking a Senior Litigation Attorney to join the Business & Commercial Litigation Practice of a leading Am Law firm. This opportunity is ideal for an attorney with 6+ years of experience handling complex post-closing M&A disputes, including indemnification claims and representations and warranties (R&W) insurance litigation.

The ideal candidate combines sophisticated commercial litigation experience with a strong understanding of M&A transactions, transaction documentation, and damages analysis. This role offers the opportunity to work on high-profile disputes arising from complex acquisitions while collaborating with nationally recognized litigators and corporate attorneys.

Responsibilities
  • Represent clients in post-closing M&A disputes, including indemnification claims and representations and warranties (R&W) insurance matters.
  • Analyze and interpret complex M&A transaction documents, including purchase agreements and related ancillary agreements.
  • Develop litigation strategy through all phases of disputes, including case assessment, discovery, motion practice, settlement negotiations, arbitration, and trial preparation.
  • Evaluate and analyze damages related to post-closing transaction disputes.
  • Conduct legal research and draft pleadings, motions, briefs, memoranda, and other litigation filings.
  • Collaborate closely with corporate and transactional attorneys on matters involving sophisticated M&A transactions.
  • Manage client relationships and provide strategic, business-focused legal advice throughout the litigation process.
  • Mentor junior attorneys and contribute to the development of litigation teams.
Qualifications
  • J.D. from an ABA-accredited law school with strong academic credentials.
  • 6+ years of sophisticated commercial litigation experience at a leading law firm.
  • Significant experience handling post-closing M&A indemnification disputes and/or representations and warranties insurance litigation.
  • Strong understanding of M&A transaction documentation and purchase agreement interpretation.
  • Experience analyzing complex damages issues arising from corporate transactions.
  • Excellent legal writing, analytical, advocacy, and oral communication skills.
  • Strong project management abilities and experience handling complex matters with minimal supervision.
  • Active bar admission in the jurisdiction where applying.
