A nationally recognized law firm is seeking a Private Funds & Investment Services Associate Attorney to join its Washington, DC office.

This opportunity is ideal for an attorney interested in representing private fund sponsors, investment advisers, institutional investors, family offices, and asset managers on sophisticated fund formation, investment management, and securities matters.

Ideal Background

3–5 years of corporate, securities, investment funds, or investment management experience gained at a sophisticated law firm

• Experience representing private equity funds, venture capital funds, hedge funds, real estate funds, credit funds, registered investment advisers, and institutional investors

• Experience handling the formation, structuring, organization, and ongoing operation of private investment funds

• Experience drafting and negotiating limited partnership agreements, limited liability company agreements, subscription agreements, side letters, investment management agreements, and related fund documentation

• Experience advising clients regarding federal securities laws, investment adviser regulations, fund governance, compliance, and ongoing operational matters

• Experience supporting private placements, co-investments, secondary transactions, GP-led transactions, and strategic investments is a plus

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage sophisticated transactions while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

DC bar admission required or ability to become admitted
