Raytheon is seeking a Director, Senior Counsel, to join the Land and Air Defense Systems (LADS) legal team reporting to the LADS General Counsel.  The Senior Counsel will serve as the lead counsel for LADS’ international portfolio, responsible for providing timely, relevant, and pragmatic advice to business and legal leaders.  Critical to this role is the Senior Counsel’s ability to quickly establish and maintain trust and foster a positive relationship with key program and functional leaders.  This is an exciting opportunity to influence strategy, support international capture and execution, and shape compliance for one of Raytheon’s most dynamic business areas.

What You Will Do

  • Advise LADS business leaders and legal teammates as a strategic legal partner on new international opportunity capture and program execution matters
  • Provide legal guidance on U.S. and international laws, regulations, and compliance requirements, helping programs identify risk and implement compliant solutions
  • Review, draft, negotiate, and advise on a broad spectrum of international government or commercial agreements, including international commercial transactions, teaming agreements, joint venture arrangements, intellectual property licenses, and non-disclosure agreements. 
  • Support international award and execution by advising on cross-border structuring, contract requirements, local rules, and operational considerations in non-U.S. jurisdictions
  • Advise program teams throughout the lifecycle of international programs, including program standup, in-country execution, performance management, risk identification, and issue resolution.  Counsel on warranty claims, financing structures, local regulatory requirements, and coordination with in-country personnel or local partners.  Assist teams in addressing claims, delays, scope disputes, and performance obligations while balancing commercial, contractual, geopolitical, and legal considerations.
  • Advise on risk allocation, sovereign immunity, governing law, and enforceability associated with contracts involving foreign states, state-owned enterprises, and international partners
  • Help manage outside counsel matters and contribute to LADS Legal budgeting and planning.
  • Draft or assist in drafting legal, business, or commercial correspondence to customers and other third parties
  • Engage collaboratively and collegially across the SBU, maintaining strong relationships with program managers, functional leaders, and peers in the Legal organization. 
  • Some domestic and international travel (20-30%)
  • Possible Work Locations: MA - Tewksbury, Andover, Woburn; AZ – Tucson; VA – Arlington, Dulles; TX - McKinney

Qualifications You Must Have

  • Typically requires 12 years of legal experience, including 8+ years at a law firm, in-house, or government
  • Juris Doctorate from an accredited law school
  • Currently admitted and in good standing with at least one U.S. State bar, and eligible to represent Raytheon as an in-house legal counsel in job location
  • Experience in reviewing, drafting, negotiating, advising, or litigating related to a wide variety of government or commercial agreements, including international DCS contracts, offset and industrial participation agreements, and international supplier and other partner collaborations

Qualifications We Prefer

  • Experience with cross‑border corporate governance, international risk, and comparative legal systems
  • Experience with U.S. and international anti-corruption regimes, including the FCPA, UK Bribery Act and similar anti-corruption legal regimes
  • Experience with international dispute resolution, including contract claim negotiation, mediation, arbitration, and sovereign enforcement
  • Experience with U.S. and international export controls and trade regulations, including ITAR, EAR, sanctions regimes, and technology transfer release

The salary range for this role is 186,200 USD - 353,800 USD. The salary range provided is a good faith estimate representative of all experience levels. RTX considers several factors when extending an offer, including but not limited to, the role, function and associated responsibilities, a candidate’s work experience, location, education/training, and key skills. Hired applicants may be eligible for benefits, including but not limited to, medical, dental, vision, life insurance, short-term disability, long-term disability, 401(k) match, flexible spending accounts, flexible work schedules, employee assistance program, Employee Scholar Program, parental leave, paid time off, and holidays. Specific benefits are dependent upon the specific business unit as well as whether or not the position is covered by a collective-bargaining agreement. Payments under these annual programs are not guaranteed and are dependent upon a variety of factors including, but not limited to, individual performance, business unit performance, and/or the company’s performance. This role is a U.S.-based role. If the successful candidate resides in a U.S. territory, the appropriate pay structure and benefits will apply.
