What You'll Do:
The Legal and Government Affairs team at CoreWeave is highly collaborative and partners closely with teams across the company to navigate complex legal landscapes while enabling innovation and growth. The team is pragmatic, solutions-oriented, and deeply engaged in strategic decision-making, with a strong emphasis on building trusted relationships across the organization.About the Role:
As Senior Counsel, Securities, you will play a key role in supporting CoreWeave's public company reporting, disclosure obligations, and corporate governance activities. You will partner closely with the Securities team and cross-functional stakeholders across Finance, Accounting, Investor Relations, Communications, and executive leadership to help ensure compliance with securities laws while enabling the company's continued growth as a public company. This role is ideal for an attorney who exercises sound judgment, enjoys solving complex legal issues, and thrives in a fast-paced, high-growth environment.
In this role, you will:
  • Lead the preparation, review and filing of SEC reports and disclosures, including Forms 10-Ks, 10-Qs, 8-Ks, Registration Statements, and other security filings.
  • Assist in the preparation of proxy statements and help to coordinate logistical matters related to the annual meeting of stockholders and any special meeting of stockholders.
  • Advise on insider trading policies, pre-clearance procedures, trading windows and Rule 10b5-1 plans.
  • Review Section 16 filings (Form 3, 4, and 5 filings).
  • Provide legal support to the Investor Relations, Communications, and Marketing teams on external communications, including press releases, blog posts, earnings releases, and investor presentations, ensuring compliance with Regulation FD, securities laws, and other disclosure requirements.
  • Monitor developments and best practices regarding the securities laws and related policies. Assist in developing and delivering training to employees on relevant legal and compliance topics.
  • Provide ad-hoc legal advice and support on various corporate governance and other legal matters as they arise.

Who You Are:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active bar membership in good standing in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned location).
  • 5-8+ years of relevant experience practicing securities law at an internationally/nationally-recognized law firm representing public companies or in-house legal department at a US public company (a mix of both would be ideal).
  • Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934,related SEC rules and regulations, and Nasdaq listing rules.
  • Excellent written and verbal communication skills, with the ability to translate complex legal concepts into clear, actionable advice for business teams.
  • Highly organized, detail-oriented, and able to manage multiple projects simultaneously under tight deadlines.
  • Ability to work independently and collaboratively within a team environment.
  • Experience in the technology industry, particularly with SaaS or cloud computing business models, is a plus.

The base salary range for this role is $157,000 to $210,000. The starting salary will be determined based on job-related knowledge, skills, experience, and market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).
