Job description

A top Hedge Fund is looking to add a Legal Counsel with a Capital Markets, Fund, or M&A background. We are also open to other backgrounds, such as finance. The Candidate will report to the General Counsel.


Responsibilities

• Manage, prepare, review, draft and negotiate a variety of legal documents (e.g. NDAs, purchase agreements, etc.) relating to investment activities including, for example, PIPEs, fund formation documentation, trading documentation, pre-IPO financings, bespoke credit documents, term loans.

• Participate in deals and assist in research, development and launch of new alternative products and strategies by providing counsel to key business stakeholders, negotiating and preparing all required legal documentation (including distribution, placement and strategic partnership agreements), coordinating with fund counsel, administrators and counterparties, as well as supervising outside counsel (including management of legal spend) as necessary.

• Act as subject-matter expert regarding questions relating to agreements and documentation, US securities laws and regulations, as well as assist with non-contract legal tasks as needed.

Qualifications

• Undergraduate and law degrees from top-tier institutions with strong academic credentials.

• Admission to the New York bar, with 3-5 years of experience practicing law at a major law firm with a deep concentration in capital markets, corporate transaction work, asset management, private funds and alternatives; and/or equivalent experience working for a private fund manager as an attorney in a business-facing role.

• Prior experience in structuring (e.g. PIPEs, pre-IPO private financings, workouts, credit documentation) is strongly preferred.
