Job description

Direct Counsel is partnering with a highly respected, full-service business law firm seeking a Corporate Securities Associate to join its nationally recognized Corporate Practice Group. This opportunity is available across multiple offices and offers sophisticated transactional work alongside experienced practitioners serving public and private companies, investors, and emerging businesses.

The ideal candidate will possess a strong background in public company securities matters, corporate transactions, and governance issues, with the ability to manage complex matters in a collaborative and fast-paced environment.

Key Responsibilities
  • Advise public companies on compliance with the Securities Act of 1933 and Securities Exchange Act of 1934.

  • Prepare and review SEC filings, including periodic reports, proxy statements, and related disclosures.

  • Counsel boards of directors and management teams on corporate governance matters and regulatory compliance.

  • Draft and negotiate transaction documents related to mergers and acquisitions, private equity investments, and corporate finance transactions.

  • Assist with entity formation, corporate maintenance, restructurings, and organizational matters.

  • Support venture capital financings, licensing transactions, and strategic investments.

  • Conduct legal due diligence and coordinate transaction closings.

  • Work directly with clients, investors, financial advisors, and opposing counsel to facilitate successful transactions.

Qualifications
  • Juris Doctor from a top-tier law school with outstanding academic credentials.

  • Active bar membership and good standing in the jurisdiction of the candidate's home office.

  • Experience handling a broad range of public company securities matters under both the '33 Act and '34 Act.

  • Strong background in:

    • Mergers and acquisitions

    • Private equity transactions

    • Corporate governance and maintenance

    • Corporate finance

    • Licensing matters

    • Venture capital financings

  • Excellent drafting, analytical, negotiation, and communication skills.

  • Ability to manage multiple sophisticated matters simultaneously while delivering exceptional client service.
