The ideal candidate will bring at least four years of experience supporting attorneys throughout the full lifecycle of private equity, hedge, or venture capital funds, including fund formation, investor onboarding, regulatory compliance, and transaction management. We are also seeking someone with a strong academic record, demonstrated by a GPA of 3.4 or higher.
Responsibilities
  • Fund Formation & Maintenance: Assisting with entity formation, drafting governing documents, maintaining corporate records, and preparing subscription agreements for investors.
  • Regulatory Compliance: Preparing and filing SEC documents (e.g., Form D, Form ADV) and Blue Sky filings.
  • Transaction Management: Coordinating closing processes, managing investor subscription documents (KYC/AML), and handling side letters.
  • Reporting & Tracking: Maintaining fund status charts, tracking deliverables, and managing data rooms.

Qualifications and Skills
  • Experience: 4 years of corporate paralegal experience, specifically within private funds or investment management.
  • Education: Bachelor’s degree required; ABA-approved paralegal certificate is preferred.
  • Skills: Strong attention to detail, proficiency in Microsoft Office and document management systems (e.g., DocuSign), and experience with SEC/Blue Sky regulations.
