Job description

Our client is seeking a hands-on Tax Counsel candidate.  
Some duties are as follows:Structured and implemented numerous tax planning transactions including: spinning off business segments to public shareholders, reorganizing corporations between consolidated groups and rationalizing legal entities
  • Performed and managed a wide range of tax attribute studies for both domestic and foreign entities
  • Review contracts for Tax ramifications
  • See how it affects our International divisions   
  • Managed FIRPTA compliance related to tax planning transactions, i.e., completed testing and filings
  • Conducted diligence and prepared statements for SOx compliance
  • Drafted internal tax memos on a wide range of tax issues including corporate reorganizations, worthless stock deductions and accounting periods
