What You'll Get To Do:
The Corporate Paralegal is responsible for assisting the Associate General Counsel, General Counsel and Secretary, the Chief Counsel - Corporate Affairs and Assistant Secretary, and other members of the Panasonic Legal Department and Panasonic Management, in all aspects of the corporate governance and recordkeeping of the organization and its US and foreign subsidiaries and divisions, including, but not limited to, by providing and supporting corporate legal work and related administrative requirements, corporate authorization documents, corporate recordkeeping, corporate housekeeping, drafting/reviewing corporate documents and forms, gathering, organizing and updating corporate information, and maintaining compliance with applicable corporate laws, in an orderly and timely manner.
Governance/Compliance
  • Knowledge of state corporate and incorporation laws and procedures applicable to corporations and limited liability companies, including, in particular, as to the State of Delaware.
  • Knowledge of Certificates of Incorporation, By-Laws and Stock portfolios of all PNA Group companies.
  • Knowledge of the corporate structure of PNA and its subsidiaries, division companies and affiliates.
  • Knowledge of the corporate approval/contract signature policies as they impact on corporate governance-related requirements and issues.
  • Prepare, coordinate and distribute Notices, Agendas, Minutes, supporting materials and documentation and related documents re: Stockholder, Board of Director, Executive Committee and Management Committee Meetings
  • Prepare Stockholder and Director 'Unanimous Written Consent' documents for the formal authorization of Stockholder and Director actions.
  • Prepare Minutes, Consents, Secretarial and Officer Certificates, Certificates of Incorporation, Certificates of Formation, By-Laws, Applications for Licenses to do Business, Agreements and Plans of Liquidation/Dissolution, and related documentation with respect to corporate incorporations, LLC formations, state licensing, corporate mergers and acquisitions, liquidations, dissolutions and other corporate establishments and reorganizations.
  • Coordinate and review US and foreign corporate and other documents required in connection with the establishment, registration and operation of foreign branch offices and companies.
  • Coordinate preparation of Shareholder, Director and Officer corporate documents required by and for the establishment, registration and operation of foreign subsidiaries.

Administration/Support
  • Understanding of and ability to assist in preparing corporate organization charts and related documents.
  • Maintain, organize and update Corporate Record Books including Stockholder, Director and Executive Committee Minutes and Unanimous Written Consent documents, State Licenses, Stock Certificates, Stock Ledgers, etc.
  • Assist in preparing required state annual report and other corporate filings to maintain corporate good standing in all applicable jurisdictions.
  • Assist in obtaining state and local business licenses and permits.
  • Maintain custody and security of the Legal Department Safe.
  • Support due diligence work in connection with corporate mergers, acquisitions, liquidations, and asset and stock sales.
  • Interface and coordinate with corporate registered agents, including, but not limited to, CT Corporation System, Corporation Service Company and other registered agents.
  • Arrange for notarization, apostille and authentication/legalization of corporate documents for filing in the US and foreign countries.
  • Maintain accurate and timely corporate data sheets containing profiles of all corporations, divisions, limited liability companies, employee benefit plans.
  • Provide support in M&A transactions, including conducting corporate due diligence, preparing ancillary documents and assisting in post-acquisition integration.

  • Will report to the Associate General Counsel

Qualifications
What You'll Bring:
Education & Experience: Degree required/preferred
  • College degree from an accredited US university with an emphasis in law, business administration or other related discipline, or an equivalent combination of education and corporate/law firm legal experience; and
  • Completion of a corporate paralegal course of study from an approved US paralegal training institution.
  • A law degree from, or completed law school courses in corporate legal matters at, an accredited US law school would be a plus.
  • This position requires a minimum of 8 - 10 years' experience as a corporate paralegal either in the legal department of a major multinational corporation, or in a major US law firm.
  • Corporate paralegal experience with a major Japanese- or other foreign-owned corporation in the US would be a plus.

Certification:
  • This position requires paralegal certification from an approved US paralegal training institution with an emphasis on corporate law, unless the applicant has a law school degree.

Problem Solving:
  • Strong ability to handle multiple projects and deadlines.
  • Broad knowledge of the principles and practices of corporate law, particularly in Delaware.
  • Proficiency in general grammar, writing skills and verbal skills.
  • Outstanding interpersonal skills with the ability to communicate within all levels inside and outside of the organization.
  • High degree of organizational and time management skills with the ability to multitask, prioritize and anticipate issues.
  • Strong research capabilities using Bloomberg Law, Practical Law and other legal research platforms and resources.
  • Advanced knowledge of Excel, Word, Powerpoint, eSign, eCounsel, Outlook and other such tools.
  • Proficiency in working with entity management systems.
  • Strong ability to be a team player, including with teams from different cultures, but also to work independently, take initiative, assume responsibility and own the role.

Communications:
  • Strong ability to work collaboratively with cross-functional teams, including finance, tax, procurement, human resources, corporate planning, internal and external auditors and transactional team.
  • Strong ability to interact with various levels of management, third parties and vendors.
