Job description

Division Description
The U.S. Mergers & Acquisitions ("M&A") team is central to the advisory business of Societe Generale ("SG") and is deeply involved in all steps of the Investment Banking transaction process: from targeting and origination, to bake-offs and pitching, to execution and follow-up. 


The sector-agnostic M&A team performs some of the most crucial steps for SG's clients, notably valuation and analysis for strategic situations, including but not limited to acquisitions, divestitures, public and private mergers, special committee assignments, and strategic capital raises.
The team regularly interacts directly with key client decision-makers, including C-suite executives and Boards of Directors, along with other external advisors such as company counsel, consultants, and accountants.


The team is fully integrated with SG's global investment banking platform and regularly works with domestic sector / industry teams, other Investment Banking product groups, as well as Investment Banking teams in EMEA and APAC on cross-border situations.The team also works closely with SG Investment Banking executive leadership for strategic planning and review.
 

  • Collaborate with various sector and product teams to originate and execute buy-side and sell-side M&A assignments
  • Lead the preparation of valuation analyses (including DCF / DDM / LBO / NPV / IRR analyses, precedent transactions, trading comparables, synergies, and market research) and transaction memoranda (including CIMs and Teasers)
  • Prepare and maintain marketing materials, pitchbooks, and multiple financial models (including merger models, accretion / dilution scenarios, ability-to-pay tests, and contribution analyses)
  • Oversee investor / buyer outreach and administer datarooms from transaction inception to process conclusion
  • Assist in the development of definitive agreement materials and negotiation of transaction valuation
  • Complete transactional-related administrative tasks and internal strategy exercises 
  • Manage Analysts and assist in the coordination of transaction deliverables

Skills and Qualifications:

Must Have:

  • Strong financial modeling ability

  • Excellent analytical skills and attention to detail

  • Excellent verbal, written, and interpersonal communication skills

  • Ability to work independently

  • 3 years of M&A or corporate finance experience

  • Strong academic background from a leading university or business school

    English

Nice to Have:

  • Proven experience in leading and mentoring junior team members

  • Solid knowledge of transaction documentation

  • Knowledge and understanding of M&A business development and strategy

  • Track record of M&A execution

  • Client management skills
