Job description

Job Summary
The Head of Compliance & Compliance Counsel provides strategic leadership, in alignment with the global compliance organization, for the development, implementation, and oversight of the Company's compliance and ethics program across North America. This role also provides legal counsel on compliance-related matters and partners with executive leadership to foster a culture of integrity, accountability, risk awareness, and responsible business practices.
Job Description
Key Responsibilities
  • Lead and continuously improve the Company's compliance and ethics program including anti-corruption, antitrust, trade compliance, anti-money laundering and data privacy ("core Compliance topics") across North America in alignment with global standards.
  • Develop and implement compliance strategies, policies, controls, and governance frameworks to identify, mitigate, and manage legal and regulatory risks.
  • Provide legal and strategic counsel on compliance matters, and advise the businesses in North America accordingly.
  • Promote a culture of ethics, integrity, accountability, and compliance through leadership, communication, training, and employee engagement initiatives.
  • Support enterprise risk management, third-party due diligence, contracting activities, and strategic business initiatives, including mergers, acquisitions, divestitures, and business expansions.
  • Oversee compliance risk assessments, audits, investigations, regulatory inquiries, and remediation activities to ensure effective risk management.
  • Partner with business leaders and functional teams to establish effective controls for the management, protection, and responsible use of company and personal information.
  • Monitor and interpret emerging laws, regulations, and industry trends, advising leadership on business impacts and compliance obligations.
  • Lead the Company's data privacy program, including privacy governance, risk assessments, data protection requirements, cross-border data transfers, incident response, and regulatory reporting.
  • Oversee ethics reporting and whistleblower programs, ensuring investigations are conducted objectively, and corrective actions are implemented to address identified risks.
  • Establish compliance monitoring, auditing, and reporting processes, including executive dashboards, metrics, and program effectiveness assessments.
  • Manage relationships with external legal counsel, regulatory agencies, and specialized compliance advisors
  • Hire, develop, motivate, and performance-manage a lean high-performing Compliance team, fostering a culture of accountability, integrity, and continuous improvement.

Qualifications
Minimum Requirements
  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed and in good standing to practice law in at least one U.S. jurisdiction.
  • 10+ years of progressive experience in legal, compliance, regulatory, governance, privacy, or risk management roles.
  • 5+ years of leadership experience managing compliance programs, investigations or related teams.
  • Strong knowledge of anti-corruption regulations, antitrust and competition laws, trade compliance and sanctions regulations, corporate governance principles, internal investigations and risk management practices, and data privacy, information governance, and cybersecurity compliance frameworks.
  • Demonstrated experience advising senior executives on complex legal and regulatory matters.
  • Strong business judgment and the ability to balance legal risk with practical business objectives.
  • Exceptional written, verbal, and executive communication skills.
  • Experience supporting multi-state operations across the United States
  • Experience with privacy compliance programs, breach response, data governance, and information security governance.
  • Familiarity with emerging AI governance and responsible technology frameworks.
  • Experience interacting with Boards of Directors and executive leadership teams

Preferred Qualifications
  • Experience within manufacturing, industrial, distribution, or multinational organizations.
  • Experience supporting operations across Canada, and Mexico.
