What you'll do
Legal doesn't slow deals down at Giga - it closes them. As our Commercial Counsel, you'll be embedded in the business, not behind it. Working alongside our senior legal team, you'll help manage our commercial contracts - from negotiating construction agreements, equipment procurement, and power purchase deals to helping build the legal infrastructure that lets us move at the speed this moment demands. This isn't a role for someone who wants to review redlines in a silo - it's for a lawyer who wants to be in the room where decisions get made and help Giga win. Where you'll work
This role is ideally based in our Houston offices. That said, we will make exceptions for truly exceptional talent if you live outside one of our hubs. If you're the right person for this role, we'll have a conversation about what works.
Responsibilities
  • Help identify and manage legal risk in commercial transactions, flagging issues clearly and proposing workable solutions rather than just problems.
  • Draft, review, and negotiate a high volume of varying commercial contracts, including but not limited to EPC agreements, equipment purchase and supply agreements, power purchase agreements, land licenses, and vendor/service contracts.
  • Serve as a legal partner to the business development, procurement, construction, and finance teams - providing practical, deal-forward guidance under time pressure.
  • Help build and maintain Giga's contract templates, playbooks, and standard terms to enable the business to move faster and more consistently.
  • Support financing and real estate transactions as needed, including review of lease agreements, easements, and financing documents.
  • Assist in managing outside counsel relationships on commercial matters, including scoping work and reviewing output.
  • Support the development of legal processes and infrastructure as Giga scales, including contract management systems and internal workflows.
  • Stay current on legal developments relevant to energy infrastructure, construction, and AI data center development.
Requirements
  • JD from an accredited law school and active bar admission in at least one U.S. jurisdiction.
  • 2-4 years of commercial transactional experience, either in a law firm or in-house environment.
  • Experience negotiating commercial contracts, ideally in construction, energy, real estate, or infrastructure.
  • Ability to work with a high degree of ownership - you don't wait to be told what needs to happen next.
  • Strong written and verbal communication skills, with the ability to translate legal complexity into plain business language.
  • Comfort operating in a fast-paced, high-growth environment where priorities shift and speed matters.
Bonus points
  • Experience with power purchase agreements, interconnection agreements, or energy regulatory matters.
  • Background in EPC or construction contract negotiation.
  • Prior in-house experience, even limited, at a high-growth startup or infrastructure company.
  • Familiarity with data center development, hyperscale leasing, or AI infrastructure.
  • Exposure to M&A, project finance, or real estate transactions.
