Job description

Direct Counsel is seeking a Corporate Associate Attorney to join a leading global law firm in its Short Hills, New Jersey office. This is an excellent opportunity for a mid-level corporate attorney to work with a highly regarded transactional practice advising emerging growth companies, investors, and established businesses on a broad range of sophisticated corporate matters.
Position Overview

The associate will join a dynamic corporate practice with exposure to a variety of complex transactions, including mergers and acquisitions, venture capital financings, and general corporate counseling for emerging growth companies. This role offers significant client interaction, hands-on deal experience, and opportunities to develop specialized expertise as the attorney progresses in their career.

The ideal candidate will thrive in a fast-paced, collaborative environment and possess strong transactional experience from a top-tier law firm, though candidates with relevant in-house or government experience are also encouraged to apply.

Key Responsibilities
  • Conduct comprehensive legal research and analysis to support transactional strategies and deal execution.

  • Draft and review transactional documents, including purchase agreements, financing documents, corporate governance materials, memoranda, and client correspondence.

  • Assist with and manage complex transactions from inception through closing, including mergers and acquisitions, venture capital financings, and other strategic corporate matters.

  • Collaborate closely with partners, associates, and cross-functional teams to develop efficient transaction strategies and deliver high-quality client service.

  • Participate in client calls, negotiations, diligence reviews, and deal closings.

  • Maintain regular communication with clients, providing updates, advice, and practical solutions to legal issues.

  • Ensure compliance with applicable legal standards, regulations, and evolving corporate law developments.

  • Contribute to professional development initiatives, firm programs, and pro bono efforts.

Qualifications
  • J.D. from an accredited law school.

  • 3–6 years of corporate transactional experience, preferably from an Am Law 100 or similarly sophisticated law firm.

  • Experience with M&A transactions, venture capital financings, and/or emerging growth company representation is preferred.

  • Admission to practice in the jurisdiction where the candidate will be based or eligibility to obtain admission.

  • Strong legal research, drafting, and analytical skills.

  • Excellent written and verbal communication abilities.

  • Ability to manage multiple priorities and work effectively in a fast-paced environment.

  • Strong organizational skills, attention to detail, and sound professional judgment.

  • Demonstrated ability to work both collaboratively and independently.

Compensation & Benefits

This position offers a competitive compensation package. The expected salary range for this role is $260,000 – $390,000, depending on experience, qualifications, and geographic considerations. The firm also offers a comprehensive benefits package including medical, dental, and vision insurance, retirement benefits, and additional wellness programs.

Work Environment

This position follows a hybrid work model, with regular in-office presence in the Short Hills office and flexibility for remote work as business needs permit.
