Job description

Clayton Services is partnering with a rapidly growing manufacturing organization in Northwest Houston to hire an Associate Corporate Counsel. This position will play a key role in supporting executive leadership and business operations by providing legal guidance across commercial transactions, contract administration, corporate governance, compliance matters, and dispute resolution.

Job Type: Direct Hire

Pay Rate: $160,000 - $180,000 plus 10% discretionary bonus potential

Associate Corporate Counsel Responsibilities:

  • Draft, review, revise, and negotiate a variety of commercial agreements, including customer contracts, supplier agreements, service contracts, equipment purchases, leases, and other business-related transactions.
  • Advise leadership teams on contractual obligations, risk exposure, payment terms, insurance requirements, compliance matters, and business strategy.
  • Prepare formal legal correspondence, notices, demand letters, and other communications involving contractual relationships and business operations.
  • Partner with operational and project teams to interpret contract language and ensure adherence to contractual requirements.
  • Assist with dispute management, claims resolution, and litigation support when necessary.
  • Monitor evolving legal and regulatory requirements affecting company operations and contractual relationships.
  • Coordinate with outside legal counsel on specialized legal matters and complex transactions.
  • Maintain contract records, amendments, approvals, and critical legal documentation.
  • Review confidentiality agreements, vendor contracts, and internal business policies.
  • Support corporate governance activities, including maintenance of corporate records, entity filings, and organizational documents.


Associate Corporate Counsel Skills and Abilities:

  • Strong knowledge of commercial contracting, contract negotiations, and risk mitigation practices.
  • Ability to provide practical legal guidance that balances business objectives with legal protections.
