Director of Legal Services
About Aymium
Aymium is the world's largest producer of renewable biocarbon, converting sustainably sourced biomass into high-performance carbon products for steel manufacturing, water treatment, agriculture, and industrial applications. The company is scaling rapidly through new facility development and partnerships worldwide, playing a significant role in global decarbonization.
Position Summary
Aymium is seeking a commercially minded attorney with who will draft and negotiate agreements, build efficient legal processes, and exercise sound judgment in a fast-moving environment. The Director of Legal Services (DLS) will report to the CEO and will advise the Executive Team on legal, regulatory, and risk matters.
Key Responsibilities
Corporate & Governance
  • Advise the CEO and Executive Team on corporate governance, entity structuring, and strategic transactions
  • Support capital raises, potential Initial Public Offering (IPO), M&A activity, joint ventures, and board-level legal matters
  • Form and maintain LLCs and other project-level entities, including operating agreements and governance documents

Commercial Contracts
  • Develop commodity offtake agreements, feedstock supply contracts, tolling arrangements, and long-term sales agreements
  • Handle routine commercial agreements - NDAs, LOIs, and vendor contracts
  • Structure and develop international commercial agreements, navigating cross-border legal and jurisdictional considerations

Project Development & Construction
  • Provide legal support for greenfield and brownfield facility development
  • Manage EPC contracts, equipment supply agreements, and owner's engineer arrangements
  • Advise on permitting, land acquisition, easements, and real property matters
  • Support project finance structures including tax equity and federal incentive programs

Regulatory, Environmental & Compliance
  • Oversee compliance with federal, state, and local environmental regulations
  • Monitor the evolving regulatory landscape for biocarbon and industrial emissions
  • Maintain the company's ethics and compliance program

Qualifications
Required
  • J.D. from an accredited law school; active U.S. bar membership
  • 5-10+ years of experience at a well-regarded law firm
  • Demonstrated hands-on contracting experience - commodity offtake, commercial agreements, LLCs, and NDAs
  • Experience with international commercial agreements
  • Background in project development, construction contracts, or infrastructure transactions
  • Proven ability to operate independently

Preferred
  • In-house experience preferred
  • Experience in energy, industrials, cleantech, commodities, or manufacturing
  • Familiarity with carbon markets, environmental attributes, or sustainability-linked finance
  • Intellectual property experience in a manufacturing or technology context
  • Experience with EPC contracts and project finance structures
  • Prior exposure to IRA tax credits, DOE loan programs, or federal grant frameworks
