We're partnering with a highly respected law firm in Raleigh to identify a Corporate Tax Paralegal to support a busy team of Corporate Tax Attorneys. What You'll Do as a Corporate Tax Paralegal:

  • Support Corporate Tax Attorneys with a variety of federal, state, and local tax matters.
  • Prepare, organize, review, and maintain corporate and tax-related legal documents.
  • Assist with business entity formations, mergers, reorganizations, dissolutions, and related filings.
  • Draft and maintain corporate governance documents, including resolutions, consents, minutes, and organizational records.
  • Conduct legal and tax-related research under attorney supervision and compile findings for review.
  • Coordinate due diligence efforts for corporate transactions, acquisitions, restructurings, and financing matters.
  • Maintain entity records, corporate record books, regulatory filings, and document retention systems.
  • Prepare filing packages and interface with government agencies regarding business registrations and compliance requirements.
  • Assist with transaction closings by preparing checklists, signature packets, closing binders, and post-closing documentation.
  • Coordinate with clients, accountants, financial professionals, and internal legal teams to gather information and maintain project timelines.
  • Organize, track, and manage deadlines for tax-related filings, compliance obligations, and corporate maintenance requirements.
  • Support special projects and other legal administrative functions as assigned by attorneys.


What We're Looking For:

  • Previous experience as a Corporate Paralegal, Tax Paralegal, Business Law Paralegal, or Transactional Paralegal.
  • Experience supporting attorneys within a law firm environment.
  • Knowledge of corporate entities, corporate governance documents, and business filings.
  • Familiarity with tax-related legal matters, corporate transactions, or regulatory compliance.
  • Experience preparing and organizing large volumes of legal documentation.
  • Strong legal research, analytical, and problem-solving skills.
  • Exceptional attention to detail and organizational abilities.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Proficiency with Microsoft Office and document management systems.
  • Paralegal certificate, associate degree, or bachelor's degree preferred.
