Job description

Corporate Transactions Senior Associate Attorney

Direct Counsel is seeking a Corporate Transactions Senior Associate Attorney to join a highly regarded Am Law 100 firm in Atlanta, Georgia or Chicago, Illinois.

This is an outstanding opportunity for an attorney with 5–7 years of corporate transactional experience to join a nationally recognized practice advising clients on sophisticated mergers and acquisitions and other strategic corporate transactions.

Key Responsibilities
  • Represent public and private companies, private equity sponsors, and strategic investors in mergers, acquisitions, divestitures, and other complex corporate transactions.

  • Draft, review, and negotiate purchase agreements, transaction documents, and ancillary agreements.

  • Conduct and manage legal due diligence and coordinate transaction teams through all phases of a deal.

  • Advise clients on transaction structuring, risk allocation, and corporate governance matters.

  • Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions for complex transactions.

Qualifications
  • J.D. from an accredited law school with excellent academic credentials.

  • Active Bar membership in good standing.

  • 5–7 years of corporate transactional experience at a law firm.

  • Significant experience handling mergers and acquisitions is required.

  • Strong drafting, negotiation, analytical, and project management skills.

  • Excellent interpersonal, written, and verbal communication abilities.

  • Ability to manage multiple matters while working effectively in a collaborative team environment.
