About the Role

The Corporate Attorney will join a sophisticated Mergers & Acquisitions and Corporate Transactions practice handling national and international deals. This position focuses on structuring, negotiating, and executing complex M&A transactions and general corporate matters.

Responsibilities
  • Lead and support M&A transactions from letter of intent through closing
  • Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and ancillary documents
  • Conduct due diligence and manage transaction timelines
  • Advise clients on corporate governance, compliance, and transactional risk
  • Coordinate with opposing counsel, financial advisors, and stakeholders
  • Support securities matters and public company transactions where applicable
Qualifications
  • Active Arizona Bar membership
  • 8+ years of corporate transactional experience
  • Significant experience handling M&A transactions
  • Experience with public companies and securities law preferred
  • Large law firm background a plus
  • Strong drafting, negotiation, and client management skills
