Overview / Responsibilities

Wood currently has an opportunity for a Contracts Leadto support our businesses in the Americas. This role will basedin Tucker, GA (US-GA-Tucker).ย  Position is office-based and Remote / Hybrid work option is available.ย 

The Contracts function focuses on all aspects of client contract negotiation and reviews including client tenders and contracts, MOUs, Bidding Agreements, Confidentiality Agreements, Parent Company Guarantees, subcontract flow downs and other agreements required to meet the business needs. The contracts team provides support to the Business Units and Business Groupings (BG) in the review of contracts and related documents, identifying and mitigating risk in accordance with the Contracting Policy and contract governance. We are therefore looking for a highly qualified Contracts Lead has a proven delivery track record of contract drafting and negotiations to be part of the Wood contracts team.ย 

Key Responsibilitiesย 

  • Draft, review and negotiate terms and conditions of contracts across North and South America with clients and operators across the Renewable Energy & Power (RE&P) and construction industries.ย 
  • Negotiate complex MSAs and standalone E, EP and EPC(M) contractsย ย 
  • Assist the supply chain function with the terms and conditions for supplier contracts (including complex flow down provisions).ย 
  • Draft and negotiate NDA's, Joint Ventures, MOUs, bidding agreements and co-operation agreements, with national and international parties under the supervision of the RE&P Contracts Managerย 
  • Draft and edit documents for compliance with the group-wide Contracting Policy andrelevant internal contracting policies andย ย 
  • Cross-Functional Interface with the Commercial, Tax, Insurance, finance, Supply Chain, Ethics and Compliance, Legal Departments and other functionsย ย 
  • Provide contractual input to Business Development for all tenders and proposals.ย 
  • Provide input to commercial handovers to the execution teams for successfully awarded contracts.ย 
  • Upon contract award, provide guidance to the project execution team during commercialย ย 
  • Post contract award provide assistance to execution team with contract interpretation and pre-litigation disputesย 
  • Oversee the complete life cycle of a contract (from initial request to final signature, distribution and filing).ย 
  • Participate at Wood in industry wide contracts initiatives and workgroups.ย 
Skills / Qualifications

Qualifications:

  • Undergraduate degree in Science or Engineering
  • Law Degree from an ABA certified institution.

Knowledge, skills and experience:

  • 10+ years of experience in a similar role.
  • Contract experience should cover engineering and construction projects (EP, EPC and EPCM) across oil, gas, energy, renewables.
  • Extensive experience with a proven track record of contract review, development, and negotiation in a service company environment.
  • Proven track record in managing multiple internal and external interfaces with key stakeholders
  • Expert knowledge of contract terms, contract principles and drafting and roll out of contracting policies.
  • Awareness of all relevant corporate and project procedures.
  • Excellent understanding of Client contract structures, principles and policies.
  • Experience of working, and building relationships, with other departments in performing role (such as Commercial, Strategy & Development, Group Legal, Group Insurance, Group Tax, Group Treasury, Group Audit and Finance, and peers in other Business Units).
  • Experience of interpreting and working in compliance with relevant corporate governance requirements and policiesย 
  • Authorization to lawfully work in the United States without sponsorship from Wood is required
