Who You Are:

As Corporate Counsel, you are a seasoned legal professional with expertise in procurement, engineering, construction, project development, insurance, vendor contract negotiations, along with drafting and negotiating a wide range of transactional matters. You thrive in dynamic environments and bring a strategic mindset to complex legal matters. This role is heavily procurement-focused and is intended to mirror the day-to-day responsibilities and skill set of procurement-focused corporate counsel on the team, including responsibility for negotiating, structuring, and managing a high volume of vendor agreements supporting mission-critical infrastructure, construction, equipment, and services.

You will bring strong commercial judgment, deep contract negotiation experience, and the ability to manage risk in fast-paced, high-stakes procurement environments across our data center portfolio. You're collaborative, solutions-oriented, and ready to support cross-functional teams across development and other business units.

What You Will Do:

  • Provide legal support for the company's procurement contracting terms and process; work with the company's business groups in negotiating and managing a broad range of contracts, including negotiation of Master Services Agreements, Equipment Supply Contracts, Software / SaaS Agreements, Professional Services / Consulting Agreements, and NDAs.
  • Partner closely with procurement and business stakeholders to structure agreements that align with QTS's commercial objectives and risk management practices
  • Support high-volume contracting workflows while maintaining attention to detail and risk discipline
  • Advise on issues arising during contract performance, including disputes, change orders, claims, terminations, or any other supplier performance issues
  • Advise on related regulatory and compliance matters, such as data privacy, environmental / health and safety considerations, permitting, due diligence, or any other industry-specific requirements impacting vendors, as needed
  • Working with and managing outside counsel, partners, customers, counterparties and other third parties, as needed
  • Performing a broad range of legal matters and general business matters based on the needs of the company, as may be assigned by the General Counsel

What You Will Need to be Successful:

  • J.D. from an accredited U.S. law school with strong academic credentials
  • Admission to the Bar of a U.S. state or the District of Columbia
  • Two or more years of legal experience as a practicing lawyer working in a general corporate transactional practice

Please note that this information is provided for those hired in Virginia only, and this role is open to candidates outside of Virginia with compensation that aligns with your location. The successful candidate's starting salary will be determined based on permissible, non-discriminatory factors such as skills, experience, and geographic location.

The estimated pay range for this role, if based in Virginia, is:

$137,364.53 - 210,067.00
