Job description

Location: San Jose, Camarillo, or Irvine California (Onsite 4 days a week)

Job Summary:

As Corporate Counsel, you will serve as a key legal advisor focused on commercial contracts for Semtech's global business operations. You will draft, review, and negotiate a wide range of agreements and partner closely with business development, sales, finance, and operations to manage contract risk and support deal velocity. The ideal candidate has strong commercial contracts drafting and negotiation skills and holds an active notary commission.

Responsibilities:

Commercial Contracts and Transactions

  • Draft, review, and negotiate a wide range of commercial contracts, including NDAs, master supply agreements, licensing agreements, SaaS agreements, vendor agreements, sales/distribution/reseller agreements, and professional services agreements
  • Provide practical guidance to business teams on contract structures, risk allocation, and deal terms
  • Lead negotiation of complex or higher-value commercial agreements as needed
  • Maintain and enhance contract templates, playbooks, and best practices for the organization
  • Ensure contracts comply with applicable laws, company policies, and business objectives
  • Manage relationships with commercial partners and help resolve contractual disputes
  • Notarize corporate documents and agreements as needed

Cross-Functional Support

  • Partner with business development, sales, finance, and operations on day-to-day legal needs
  • Liaise with outside counsel on specialized or higher-complexity matters
  • Support internal contract training and process improvement initiatives

Minimum Qualifications:

  • Juris Doctor (JD) from an accredited law school
  • Active membership in good standing with the bar
  • 4-8 years of experience in corporate/commercial contract law, in-house or law firm
  • Active Notary Public commission (California), or ability to obtain promptly upon hire
  • Based in or able to work hybrid from San Jose, California
  • Strong drafting, negotiation, and communication skills
  • Ability to manage multiple contracts and competing deadlines independently

Desired Qualifications:

  • Experience with semiconductor or technology industry contracts
  • Exposure to corporate governance, SEC filings, or M&A support (nice to have, not required)
  • Experience with contract management software
  • Strong business acumen with the ability to balance legal risk against business objectives
