Corporate & Transactional Associate Attorney

The Opportunity

A nationally recognized regional law firm is seeking a second- to third-year associate to join its corporate and transactional practice in Atlanta. This is an opportunity to become a key contributor within a nationally recognized team, gaining hands-on experience across a wide range of buy- and sell-side M&A deals, corporate governance matters, and other business transactions — including a growing volume of cross-border work.

Practice Overview

The corporate and transactional group represents middle-market companies, private equity sponsors, lenders, and business owners across a broad range of industries. The practice handles the full lifecycle of transactional work, from deal structuring and negotiation through closing, and increasingly includes matters with an international or cross-border component.

What You'll Do

  • Draft and negotiate complex transactional agreements, including purchase agreements, credit agreements, and related deal documents
  • Support buy-side and sell-side M&A transactions from due diligence through closing Handle corporate governance matters for portfolio and operating companies
  • Assist with general corporate work, including entity formation, contract review, and business counseling
  • Contribute to cross-border matters as the practice's international deal volume grows
  • Work directly with senior attorneys and clients, with meaningful early responsibility rather than being confined to document review

Qualifications

  • Two to three years of corporate and transactional experience Meaningful exposure to M&A transactions, cross-border matters, and general corporate work
  • Experience drafting complex transactional agreements
  • Excellent writing and analytical abilities
  • Sound judgment, strong organizational skills, and attention to detail
  • Georgia Bar admission required
  • German language capability is not required but would be a helpful qualification given the practice's growing volume of cross-border matters

Training and Development

New transactional associates participate in a first-year Fundamentals of Corporate Transactions bootcamp, using mock transactions to practice core drafting skills such as NDAs and letters of intent. More experienced transactional associates can participate in advanced M&A and technology transactions bootcamps as their practice develops.

Every associate is assigned a mentor from day one — typically a senior associate in the same practice area during year one, followed by a formalized shareholder or senior associate mentor for longer-term career guidance. Associates also have access to on-demand skills training, business development coaching, and unlimited confidential coaching resources focused on professional growth and well-being.

Hours and Compensation Structure

The standard associate track carries a billable hour target, with additional flexible hour tracks available under the firm's Pathways program for associates who want greater flexibility at certain career stages without stepping off the path to partnership. Compensation is structured on a transparent, lockstep scale through the seventh year, with associates eligible for productivity, profitability, and origination-based bonus opportunities upon meeting the applicable hours threshold.
