Capital Markets Associate
West Palm Beach, FL | Onsite
Full-Time

A leading global law firm is seeking a Capital Markets Associate with 2–3 years of experience to join its Corporate Practice in West Palm Beach. This role offers the opportunity to work on sophisticated domestic and cross-border capital markets transactions for public and private companies, financial institutions, and investment firms.

Key Responsibilities
  • Support public and private securities offerings, including IPOs and follow-on offerings
  • Draft and review SEC filings, including S-4s, 10-Ks, 10-Qs, 8-Ks, and proxy statements
  • Advise public companies on securities law compliance and corporate governance matters
  • Assist with business combination transactions, including SPAC and deSPAC transactions
  • Interface with the SEC and other regulatory agencies
  • Represent issuers, underwriters, and other market participants in capital markets transactions
Qualifications
  • 2–3 years of capital markets and securities experience
  • Experience with public and private equity offerings and SEC reporting requirements
  • Familiarity with SPACs, PIPEs, REITs, or cross-border offerings is a plus
  • Strong drafting, negotiation, and client management skills
  • Strong academic credentials required
  • Admission to the Florida Bar, or eligibility for admission, required
