Crypto & Web3 Corporate Associate โ€“ AmLaw 100 Firm
Locations: San Francisco, CA (Preferred), Los Angeles, CA, or New York, NY
Full-Time

Direct Counsel represents an AmLaw 100 firm seeking a Corporate Associate with 3โ€“6 years of transactional experience to join its innovative Crypto & Web3 practice.

The ideal candidate will have experience advising cryptocurrency, blockchain, and Web3 companies on sophisticated corporate transactions, including venture capital financings, token-related transactions, digital asset offerings, and corporate matters.

Responsibilities may include advising clients on:

  • Venture capital financings involving crypto token rights and token warrants
  • Crypto token, digital asset, and NFT issuances
  • Primary and secondary sales of crypto tokens and digital assets
  • Offshore entity structures related to digital asset issuances
  • General corporate, compensation, and employment matters

Candidates must have a strong understanding of blockchain technology and digital asset markets. Familiarity with securities law and regulatory considerations related to crypto tokens is a plus.

The practice represents innovative technology and growth companies at all stages of development, from early-stage startups to established private companies and publicly traded organizations across industries including fintech, artificial intelligence, and digital media.

Qualifications:

  • 3โ€“6 years of transactional corporate experience (regulatory experience alone does not qualify)
  • Experience advising crypto, blockchain, Web3, fintech, or emerging technology companies preferred
  • Strong understanding of blockchain technology and digital asset markets
  • Experience with venture financings and complex corporate transactions

Compensation & Benefits
The expected salary range for this position is $260,000โ€“$390,000, depending on experience and associate year level. Discretionary merit-based bonuses may also be awarded.
