Job description

Position Summary

We are looking for an Associate Counsel to serve the Integrity Wealth business division, which is Integrity's rapidly growing wealth management business with over $50 billion in assets under management and advisement. The Associate Counsel of Integrity Wealth will report to the Senior Counsel of Integrity Wealth and will serve as a key transactional and commercial lawyer for the Integrity Wealth portfolio of companies. The individual will be an experienced, proactive and intelligent attorney who will play an important role in negotiating with counterparties on important commercial transactions and prepare transactional documents relating to Integrity Wealth's advisors, clients and advisor and client transitions. The individual will play an important role in the legal strategy of Integrity Wealth and will work very collaboratively with the Integrity Wealth compliance and regulatory teams to ensure transactional, regulatory, compliance and risk and litigation oversight over the Integrity Wealth business division.

Primary Responsibilities

  • Serve as the Associate Counsel of Integrity Wealth, and play an important commercial and transactional role supporting the Integrity Wealth business division
  • Work closely with the Integrity Wealth legal team, executive team and the Integrity Wealth compliance team to undertake, manage and execute Integrity Wealth's strategic, corporate and regulatory reorganization
  • Review and negotiate commercial transactions with important counterparties
  • Support the Integrity Wealth companies and business development team in the legal aspects of advisor and client transitions
  • Work collaboratively with important stakeholders within Integrity Wealth and with the Integrity enterprise to ensure that important business objectives are met
  • Work collaboratively with compliance and regulatory teams to ensure robust internal processes over transactions, compliance and risk management
  • Oversee and manage external counsel and help to manage and control legal expenses incurred by Integrity Wealth
  • Manage and coordinate E&O insurance for Integrity Wealth and its financial advisors in collaboration with Integrity's external insurance brokers
  • Work collaboratively with the broader Integrity Legal team, the Integrity Wealth executive team and the Integrity Wealth compliance team to understand, oversee and manage arbitration, litigation or complaints involving Integrity Wealth

Required Competencies

  • Strong transactional background in wealth management, asset management or commercial transactions with at least 3-5 years of experience at a law firm or in-house at a company with demonstrated experience
  • Experience in the financial services industry is a must. Prior experience at an independent RIA, broker-dealer, or law firm representing the aforementioned are strongly preferred
  • Must have comfortable familiarity with the Advisers Act of 1940, Securities Act of 1933, Investment Company Act of 1940, FINRA Rules, and state security laws (Blue Sky Laws).
  • Strong drafting, critical thinking and negotiating skills
  • Must be proactive and confident, with the willingness to "lean in" and provide robust legal advice and direction to the Integrity Wealth business teams
  • Fast learner, and willingness to learn and tackle whatever comes in through the door related to Integrity Wealth's reorganization, regulatory considerations, commercial transactions, products etc.
  • Excellent writing and communication skills and the ability to identify, initiate and conclude strategic objectives in a collaborative, team-based "no ego" environment.
  • Solutions-oriented legal advisor who is willing to "roll up sleeves", understand the issues and work at solving them independently
  • Strong intellectual curiosity and have an interest in the independent wealth management industry and desire to cultivate longer-term career and professional development in this space
  • Service-oriented and good team player
